In an exchange filing, the companies entered into a waiver agreement, further advancing their merger deal, originally<a target="_blank" href="https://www.benzinga.com/general/health-care/24/11/41987383/unitedhealths-optum-defends-multi-billion-dollar-amedisys-deal-ensures-competitive-landscape" rel="noreferrer noopener"> announced on June 26, 2023.</a>
Under the terms of the agreement, Merger Sub, a wholly owned subsidiary of UnitedHealth, will merge with Amedisys, with Amedisys continuing to operate as a subsidiary of UnitedHealth Group.
The companies have agreed to push their $3.3 billion merger deadline to next year. This extension follows intense scrutiny from the U.S. Department of Justice, Reuters reports.
Over a month ago, the DOJ and three U.S. states <a target="_blank" href="https://www.benzinga.com/news/legal/24/11/41917050/justice-department-moves-to-block-unitedhealths-amedisys-takeover-whats-going-on" rel="noreferrer noopener">filed a lawsuit to prevent the deal.</a> They argued that the merger would harm competition in the home health services market.

The waiver allows both Amedisys and UnitedHealth Group to extend the period during which they cannot terminate the merger due to delays.
The companies have agreed to waive their right to terminate the agreement until the earlier of two conditions: 5:00 p.m. New York time on the tenth business day after a final order from the U.S. District Court for the District of Maryland permanently blocking the merger, or 11:59 p.m. on December 31, 2025.
The waiver ensures that the merger process remains in effect until one of these deadlines is reached.
The waiver also includes important financial and operational adjustments. The Regulatory Break Fee under the merger agreement is set at $275 million, which could increase to $325 million if certain divestiture milestones are not met.
Additionally, the waiver modifies certain operational restrictions and closing conditions, particularly those related to government approvals, and increases the revenue-related aspect of the "Burdensome Condition" definition.
Despite regulatory scrutiny and potential challenges, this waiver marks a key development in the ongoing efforts to finalize the merger.
The companies continue to work toward completing the deal, which is expected to provide both parties substantial synergies and growth opportunities.
Price Action: UNH shares are trading lower by 0.52% to $508.47 at last check Friday. AMED is up 4.48%.

Under federal law, as long as cannabis is classified as a Schedule I drug under the <a href="https://www.benzinga.com/topic/controlled-substances-act">Controlled Substances Act</a> (CSA) these complexities involving the Bureau of Alcohol, Tobacco, Firearms and Explosives (ATF) will persist.
As of New Year&#8217;s Day, <a href="https://www.benzinga.com/24/11/42203777/kentucky-awards-first-medical-cannabis-dispensary-licenses">medical marijuana will be legal </a>in Kentucky although, due to the CSA, it remains <a href="https://www.benzinga.com/markets/cannabis/24/09/40859406/cannabis-prices-would-be-significantly-lower-in-the-us-if-legalized-study-finds">illegal under federal law</a>. Hence, Kentuckians who own or want to own guns are in a difficult position — a situation faced by gun owners across the U.S. who need or want to consume medical marijuana.

<h2 class="wp-block-heading">ATF Paperwork Is Complicated</h2>
If you want to buy a gun, the process begins with ATF Form 4473. The form includes a question that specifically asks if the buyer is an unlawful user of, or addicted to, marijuana, among other controlled substances. Even if marijuana use is legal on a state level, answering yes to any part of that question can disqualify the individual from being able to buy a firearm. If you check yes, licensed sellers cannot legally sell you a gun.
&#8220;You cannot possess firearms and ammunition and also be a user of marijuana,&#8221; ATF Special Agent AJ Gibes said Wednesday, <a href="https://www.wdrb.com/news/starting-jan-1-kentuckians-will-have-to-choose-between-medical-marijuana-or-firearms/article_730a16b6-b80c-11ef-9721-93daace5ff86.html">reported</a> Kentucky's WDRB.com.
<h2 class="wp-block-heading">Give Up Your Right To Bear Arms</h2>
This not only applies to new gun purchases, current legal gun owners also face the tough decision of keeping their guns or partaking in the benefits of medical marijuana.
&#8220;If they wish to follow federal law and not be in violation of it, then they need to make the decision to divest themselves of those firearms,&#8221; Gibes said when asked if medical marijuana card owners are expected to give up their guns.
&#8220;We are not actively seeking and working solely on investigations involving just the possession of firearms and marijuana because of our finite resources,&#8221; he said. Still, for Kentuckians interested in following the law, this is the decision they'll face.
<h2 class="wp-block-heading">Don&#8217;t Lie To The ATF</h2>
Lying on form 4473 is punishable by up to 15 years in prison and/or up to a $250,000 fine. However, Gibes said charges are likely to only be pursued only in connection with another felony.
