("Ayrmid") has not submitted a binding proposal to acquire bluebird and has not obtained necessary financing. In consultation with its financial and legal advisors, the bluebird Board of Directors (the "Board") reaffirms its recommendation in support of the transaction with Carlyle and SK Capital and recommends all stockholders tender into the current agreement by May 2, 2025.
"Ayrmid's proposal remains highly conditional, despite an extension to the previously agreed-upon timeline to complete confirmatory diligence and submit a binding offer," said Mark Vachon, chairman of the bluebird bio Board of Directors. "bluebird has engaged with Ayrmid on two separate occasions—neither of which has resulted in a binding or fully-financed offer. After careful consideration with our financial and legal advisors, discussions with Hercules Capital, and taking into account that absent a significant infusion of capital, bluebird continues to be at significant risk of defaulting on its loan covenants, the Board unanimously reaffirms its support of the previously announced agreement with Carlyle and SK Capital in the strongest possible terms."

These past three months were not what U.S. <a href="https://www.benzinga.com/topic/mergers-and-acquisitions">dealmakers wanted or expected</a>.
As of April 3, transaction tracker Dealogic showed zero percent growth in U.S.-based M&amp;A volume compared to last year&#8217;s first quarter.
Elsewhere? Volume is spiking triple digits.

<li>Japan: 105%</li>
<li>Asia: 103%</li>
</ul>
Deal volume is also up in Canada, Europe and Australia. Only in Latin America is it in the red, with <a href="https://www.benzinga.com/personal-finance/financial-advisors/25/03/44342234/deal-dispatch-trump-ma-boom-is-a-bust-purple-mattress-considers-sale-celtics-auction-heats-up">barely a peep</a> coming from the U.S.
For those keeping track of who correctly predicted this downtrend, don&#8217;t look to Bank of America. After Election Day, the firm&#8217;s <a href="https://www.benzinga.com/analyst-ratings/analyst-color/24/11/41979935/golden-years-for-ma-deals-ahead-under-trump-analysts-highlight-top-10-large-cap-candidates">analysts boldly predicted</a> that the then-incoming Trump administration would remove Federal Trade Commission chair Lina Khan and, presto, the antitrust roadblocks for M&amp;A activity would be removed.
Those analysts were wrong. Just 10 days after Trump&#8217;s inauguration, the U.S. Department of Justice <a href="https://www.benzinga.com/news/legal/25/01/43353124/hewlett-packard-enterprise-shares-fall-as-us-department-of-justice-sues-to-block-juniper-acquisition">sued to block</a> Hewlett Packard Enterprise&#8216;s (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/HPE#NYSE">HPE</a>) $14 billion deal to acquire networking gear maker Juniper Networks. In March, Surmodics, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SRDX#NASDAQ">SRDX</a>) <a href="https://julian-34159.medium.com/m-a-malaise-whats-behind-the-2025-deal-slowdown-8471a15b914c">saw its stock price fall</a> after the FTC challenged a proposed acquisition by private equity firm GTCR LLC.
Those BofA analysts also forgot that the previous Trump administration was not particularly lenient regarding consolidation. AT&amp;T and Time Warner; Sinclair and Tribune Media; Broadcom and Qualcomm; DraftKings and FanDuel — <a href="https://www.benzinga.com/news/asset-sales/25/03/44202239/deal-dispatch-tiktok-walgreens-raizen">all blocked</a>.
On the shiny side, gold-related M&amp;A deals have increased, but transaction sizes are much smaller, Benzinga&#8217;s Stjepan Kalinic <a href="https://www.benzinga.com/news/legal/25/03/44490949/gold-ma-deals-are-accelerating-but-average-deals-are-smaller-research-shows">wrote this week</a>.

Deal Dispatch: US M&A Is Quiet, But Abroad? Volume Is Spiking

Bluebird Bio Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/BLUE#NASDAQ">BLUE</a>) shares are trading higher Monday after the company received an unsolicited takeover <a href="https://www.benzinga.com/25/03/44564776/gene-therapy-focused-bluebird-bio-receives-rival-takeover-offer-stock-jumps">offer from Ayrmid Ltd</a>.
What To Know: The offer includes an upfront cash payment of $4.50 per share and a one-time contingent value right of $6.84 per share payable upon achievement of net sales milestones.
The bid comes after Bluebird had already agreed in February to be acquired and taken private by Carlyle and SK Capital Partners for $3 per share in cash, with the same $6.84 contingent value right. 
Bluebird said it previously reviewed strategic alternatives and even engaged in discussions with Ayrmid, but Ayrmid did not submit a proposal at that time. The company's board is now reviewing the new offer with legal and financial advisors. Investors appear to be reacting to the possibility of a higher takeover price.
Bluebird Bio shares are also getting a boost from Barclays on Monday after the analyst firm maintained an <a href="https://www.benzinga.com/analyst-stock-ratings">Overweight rating</a> and set a price target of $8.
