The purchase price works out to $7.03 per share in cash.
Accolade&nbsp;is a Personalized Healthcare company&nbsp;that offers employer, health plan, and consumer solutions combined with virtual primary care and mental health, medical opinion, and care navigation.
The transaction is expected to bring Transcarent&#8217;s generative AI-powered WayFinding and comprehensive care experiences — Cancer Care, Surgery Care, and Weight Health — along with its Pharmacy Benefit offering together with Accolade&#8217;s Personalized Healthcare Platform and expertise in advocacy, expert medical opinions (EMO), and primary care.
The merger consideration of $7.03 per share represents a premium of approximately 110% over Accolade&#8217;s closing stock price on January 7, 2025, the last trading day prior to public disclosure of the transaction. 
General Catalyst and Glen Tullman&#8216;s 62 Ventures provided equity financing for the transaction. 
The deal is expected to close during the second calendar quarter of 2025.

Live sports, ad-supported plans and pricing strategies are among the items highlighted by a Netflix Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NFLX#NASDAQ">NFLX</a>) analyst ahead of the company's fourth-quarter earnings report, which will include results from NFL games, a big boxing match and the premiere of a <a href="https://www.benzinga.com/24/12/42751367/netflix-posts-record-debut-with-squid-game-season-2-heres-how-many-people-watched-show">second season of "Squid Game."</a>
The Netflix Analyst: Goldman Sachs analyst Eric Sheridan reiterated a Neutral rating on Netflix and raised the price target from $750 to $850.

The Analyst Takeaways: Netflix outperforming the S&amp;P 500 over the past 12 months comes with several key themes, Sheridan said in a new investor note.
The analyst highlighted a competitive moat, a push into live sports and partnerships in advertising as key themes.
"Initial forays into live sports/entertainment are the beginning of a multi-year narrative of compounded growth that will build in momentum," Sheridan said.
Sheridan said the key investor debates going forward are the pace of price increases, management commentary on live sports and the overall media landscape and competition.
"With recent key live events being stimulative of user engagement and sign-ups, we continue to see an attractive advertising opportunity with live events continuing to contribute to Netflix's advertising over time."
Sheridan said Netflix has "an attractive advertising opportunity" with its live events, including sports.
The analyst also increased net subscriber additions for the fourth quarter due to third-party data trends.
"According to Antenna data and Netflix, the Jake Paul vs. Mike Tyson match brought in ~1.4mm new sign-ups in the U.S. to the streaming service."
The boxing match in November had around 65 million concurrent streams globally. Two NFL games on Christmas had around 30 million global viewers each.
"Against this backdrop, we continue to see an attractive advertising opportunity with live events continuing to contribute to Netflix's advertising over time."
Netflix's ad-supported tier represents around 56% of gross additions and around 43% of subscribers in the U.S., Sheridan added.
The analyst sees the live events and recent test cases of the boxing match and NFL games helping to boost its advertising efforts and seeing a higher average revenue per member for ad-supported subscribers. In the past, the ARM has been lower for ad-supported subscribers, which is an area Sheridan thinks Netflix will show improvement on in the fourth-quarter results.
Netflix's fourth quarter included the boxing match, two NFL games and the return of several hit shows, including "Squid Game" on Dec. 26.
One concern from the analyst is the current first quarter, which has a lower slate of original content.

Commentary on the company's live sports events and the "Squid Game" second season will likely be among the most watched items from investors and analysts.
NFLX Price Action: Netflix stock is trading flat at $878.39 on Wednesday at publication versus a 52-week trading range of $472.97 to $941.75. Netflix stock is up 81% over the last year.

What's Going On With Accolade Stock Wednesday?

Microbot Medical Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/MBOT#NASDAQ">MBOT</a>) today announced that it has entered into definitive agreements for the purchase and sale of 3,788,550 shares of the Company&#39;s common stock at a purchase price of $2.27 per share of common stock in a registered direct offering priced at-the-market under Nasdaq rules. In addition, in a concurrent private placement, the Company will issue unregistered short-term series H preferred investment options. The short-term series H preferred investment options to purchase up to 7,577,100 shares of common stock have an exercise price of $2.10 per share and are immediately exercisable following issuance for a period of two years thereafter. The closing of the registered direct offering and the concurrent private placement is expected to occur on or about January 9, 2025, subject to the satisfaction of customary closing conditions.
H.C. Wainwright &amp; Co. is acting as the exclusive placement agent for the offerings.
The gross proceeds to the Company from the offerings are expected to be approximately $8.6 million, before deducting the placement agent&#39;s fees and other offering expenses payable by the Company. The Company intends to use the net proceeds from the offerings for the continued development, commercialization and regulatory activities for the Company&#39;s LIBERTY&reg; Robotic System, expansion and development of additional applications derived from the Company&#39;s existing IP portfolio, and for working capital and other general corporate purposes.

In a new twist on Wednesday, a DEA judge ordered the agency to respond to allegations that it opposes President Joe Biden's <a href="https://www.benzinga.com/markets/cannabis/23/08/34126690/hhs-secretary-confirms-it-is-recommending-cannabis-be-rescheduled-per-bidens-directive">directive of August 2023 to reschedule marijuana</a> and that it is improperly conferring with cannabis opponents. 
Marijuana Moment <a href="https://www.marijuanamoment.net/dea-judge-orders-agency-to-respond-to-new-allegations-it-opposes-marijuana-rescheduling-and-improperly-conspired-with-prohibitionists/">reported</a> that one day after a motion was filed outlining these allegations, which include improper communications with opponents of the reform, the DEA is now compelled to reply next week. Additionally, participants in the hearings are asking the judge to remove the DEA from the process, noted the outlet.
DEA Administrative Law Judge John Mulrooney <a href="https://www.dea.gov/sites/default/files/2025-01/Marijuana%20Rescheduling_Ord%20re%20Mot%20for%20Recon%20Response%20%28e%29.pdf">wrote</a> that the government is ordered to file a response to a motion to reconsider by Jan. 13. 
What Happened: Attorneys representing cannabis advocates argued the DEA&#8217;s late submission of data on marijuana reclassification undermines the fairness of the hearing process. 
They said the agency violated federal law by withholding information until the eve of the hearing, hindering the Department of Health and Human Services <a href="https://www.benzinga.com/markets/cannabis/24/01/36620822/feds-finally-release-documents-confirming-recommendation-to-reschedule-cannabis-based-on-accepte">scientific review of January 2024 </a>and depriving pro-rescheduling groups of a fair opportunity to participate.
Adding fuel to the fire, <a href="https://www.benzinga.com/markets/cannabis/24/03/37603576/dea-vs-white-house-agency-pushes-back-on-medical-benefits-of-cannabis-weed-stocks-wobble">statements from the DEA</a> have questioned the medical value of cannabis, citing a lack of robust clinical trials approved by the Food and Drug Administration to support the safety and efficacy of cannabis for its various therapeutic uses.
The original motion regarding &#8220;ex parte&#8221; communications included failing to disclose nearly 100 requests to participate in the hearings and coordinating<a href="https://www.benzinga.com/24/11/42144540/dea-slammed-over-unlawful-talks-with-cannabis-opponents-the-plot-thickens"> with at least one anti-rescheduling group</a>.

<h2 class="wp-block-heading">Cannabis Stocks: Deep Declines Over The Year</h2>
The reclassification process, the first of its kind since 1970, has kept cannabis industry and marijuana stocks on edge and it showed at the end of 2024. 
AdvisorShares Pure US Cannabis ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/MSOS#NYSE">MSOS</a>), a benchmark for the sector, plummeted by about 48% in 2024. As of this writing, MSOS shares are down 5.91% on the day. 
U.S. and Canadian marijuana stocks didn't do much better amid concerns over the outcome of the DEA&#8217;s review.
Curaleaf Holdings (OTC:<a class="ticker" href="https://www.benzinga.com/stock/CURLF#OTC">CURLF</a>) fell some 62% in 2024. Verano Holdings (OTC:<a class="ticker" href="https://www.benzinga.com/stock/VRNOF#OTC">VRNOF</a>) lost about 73%, Trulieve (OTC:<a class="ticker" href="https://www.benzinga.com/stock/TCNNF#OTC">TCNNF</a>) fell about 7.5%, Green Thumb Industries (OTC:<a class="ticker" href="https://www.benzinga.com/stock/GTBIF#OTC">GTBIF</a>) is down 31% and Cresco Labs (OTC:<a class="ticker" href="https://www.benzinga.com/stock/CRLBF#OTC">CRLBF</a>) has lost about 37% of its value. TerrAscend (OTC:<a class="ticker" href="https://www.benzinga.com/stock/TSNDF#OTC">TSNDF</a>) was also down by 62% in 2024, while Ascend Wellness (OTC:<a class="ticker" href="https://www.benzinga.com/stock/AAWH#OTC">AAWH</a>) dropped 64%.
