Billionaire Ellison, a prominent figure in the mining sector, will remain as a managing director until the board finds a suitable successor within the next 18 months. The board has imposed a financial penalty of $5.85 million on Ellison, alongside $6.37 million in lost remuneration.
"With the interests of shareholders absolutely front and center, the board has determined there needs to be an orderly leadership transition, significant strengthening of governance protocols, and a financial penalty imposed on Mr. Ellison," said chair James McClements <a target="_blank" href="https://www.theguardian.com/australia-news/2024/nov/04/chris-ellison-mineral-resources-boss-exit-step-down-ntwnfb" rel="noreferrer noopener">per</a> The Guardian.
ASIC's Deputy Chair, Sarah Court, confirmed <a target="_blank" href="https://www.afr.com/companies/mining/minres-directors-slammed-over-big-bonuses-to-ellison-20241107-p5kokj" rel="noreferrer noopener">for</a> AFR that an investigation is underway, noting the ATO's involvement as well. "We've now commenced a formal investigation into these issues," Court said, clarifying that the probe will assess potential breaches of laws under ASIC's jurisdiction.
Following these events, Moody's Investor Service has downgraded Mineral Resources' outlook to negative, citing potential fallout from governance challenges.
"The managing director's transition creates uncertainties around the company's strategic direction and financial policy settings," Moody's <a target="_blank" href="https://www.moodys.com/research/docid--PR_497954" rel="noreferrer noopener">stated</a>, pointing at risks that could impact the company's relations with customers, joint venture partners, and lenders.
Ellison addressed the allegations with an apology, stating, "I am deeply sorry for the events that have occurred and the impact they have had on MinRes' reputation. I apologize to the board and our people, who expect and deserve better from me."
Founded in 2006 through a merger of several resource service companies, Mineral Resources has become a diversified player in Australia's mining landscape. It operates across iron ore, natural gas, and energy solutions and holds interests in lithium projects such as the Wodgina mine.
The company has lost 45.5% of its market cap year-to-date, a decline due to falling ore and lithium prices and internal turmoil.

Medicine Man Technologies, Inc., operating as Schwazze (OTC:<a class="ticker" href="https://www.benzinga.com/stock/SHWZ#OTC">SHWZ</a>) announced its preliminary financial results Thursday for the third quarter ended Sept. 30, 2024. The Colorado-based cannabis company reported revenue of approximately $42 million, which compares to revenue of $46.75 million in the same period last year.
"We continued to generate momentum from our retail growth and optimization initiatives in Q3, reflected by our ability to outpace two highly competitive markets while generating sequential improvements in profitability and positive cash flow from operations," stated Forrest Hoffmaster, Interim CEO of Schwazze. "Our efforts to sharpen our pricing and promotional strategy, elevate the in-store experience, and improve product quality, assortment and in-stock positions are yielding positive results. I'm proud of our team's hard work and dedication to drive these improvements in the overall customer experience, which has led to increased store traffic in both Colorado and New Mexico. <h2 class="wp-block-heading">Q3 2024 Preliminary Financial Results</h2>
Based on preliminary and unaudited results, the company expects to report the following for the third quarter ended September 30, 2024:
<ul>
<li>Adjusted EBITDA of approximately $11 million, compared to $14.12 million in the third quarter of 2023.</li>
<li>Cash flow from operations of approximately $200,000, compared to $6.95 million in the same period last year.</li>
</ul>
At quarter end, Schwazze held cash and cash equivalents of approximately $11 million, with principal amount of debt outstanding of approximately $196 million.
This compares to cash and cash equivalents of $12.3 million and total debt of $163.4 million at the end of the previous quarter (June 30, 2024). On Dec. 31, 2023, the debt amounted to $156.8 million, indicating continued growth.
<h2 class="wp-block-heading">Update On Delayed Filing</h2>
As previously announced on April 8, 2024, Schwazze dismissed BF Borgers CPA PC as its registered public accountant and engaged Baker Tilly US, LLP as its new accountant. Subsequent to the transition, on May 3, 2024, the SEC issued an order against BF Borgers for systemic failures in meeting PCAOB standards, which impacted over 1,500 SEC filings and affected at least 75% of BF Borgers' 369 clients.
As a result of the SEC order, Schwazze's new auditor needs additional time to complete its prior period review, which includes re-auditing the company's fiscal year 2023 financial statements and re-reviewing the closing of its 2022 balance sheet prior to filing its 2024 annual report. Baker Tilly is working to re-audit the company's financial statements for the associated periods.
Due to the ongoing re-review process, Schwazze anticipates a delay in filing its quarterly report on Form 10-Q for the three- and nine-months ending September 30, 2024. Moreover, the company expects to simultaneously file its quarterly report on Form 10-Q for the three months ending March 31, 2024, and June 30, 2024.

Schwazze shares closed Thursday's market session flat at 15 cents per share.

Daktronics has delivered outstanding financial results over the last twelve months, with record revenue, gross profit and operating income in fiscal year 2024, and strong returns for shareholders, with the Company's stock price increasing more than 300% over the last two years and over 175% since the issuance of the Convertible Note on May 11, 2023.1 This performance is the result of several initiatives implemented by the management team and Board, including strengthening the Company's financial position, reducing order backlog, and improving margins through operational enhancements and strategic cost reductions.
The Board's decision to force the conversion of the Convertible Note is consistent with the Company's ongoing focus on balance sheet optimization and cost efficiency and will save the Company approximately $5.4 million in interest expense over the remaining term of the Convertible Note. To help offset the share dilution that will result from the conversion of the Convertible Note into common stock, the Company intends to execute on its existing share repurchase authorization as soon as practicable.
