(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TXNM#NYSE">TXNM</a>) shares are trading higher premarket on Monday after the company agreed to be acquired by Blackstone Infrastructure for <a target="_blank" href="https://www.benzinga.com/pressreleases/25/05/n45489413/txnm-energy-enters-agreement-to-be-acquired-by-blackstone-infrastructure" rel="noreferrer noopener">$61.25 per share in cash at closing</a>.
The acquisition price represents a 23.0% premium over TXNM Energy&#8217;s unaffected 30-day volume weighted average price (VWAP) as of March 5, 2025, the day before media reports of a potential acquisition.
This transaction reflects a total enterprise value of $11.5 billion, which includes net debt (excluding securitization debt) and preferred stock.

Blackstone Infrastructure is also making a $400 million investment through a private placement agreement, purchasing 8 million newly issued shares of TXNM Energy common stock at $50 per share to support TXNM Energy&#8217;s growth plans. This issuance is expected to be completed in June 2025.
TXNM Energy anticipates issuing an additional $400 million of equity before the transaction closes to further support its growth. The transaction is being funded through equity and the assumption of existing debt, with no new debt expected to be issued as a result of the acquisition.
TXNM Energy&#8217;s Board of Directors has unanimously approved the transaction, which is estimated to close in the second half of 2026, pending shareholder and regulatory approvals.
TXNM Energy shareholders can anticipate continued dividend payments through the transaction&#8217;s closing, subject to the Board of Directors&#8217; approval.
Upon closing the transaction, Pat Collawn will step down as Executive Chair. Notably, Pat Collawn transitioned from the current Chief Executive Officer&nbsp;to Executive Chair, <a target="_blank" href="https://www.benzinga.com/pressreleases/25/05/n45401627/txnm-energy-announces-executive-leadership-transition-of-pat-collawn-to-executive-chair-don-tarry-" rel="noreferrer noopener">effective&nbsp;July 1, 2025</a>.&nbsp;
Don Tarry will assume responsibility for the ongoing operations of TXNM Energy as President and CEO.

Why Is TXNM Energy Stock Soaring On Monday?

It's downgrade déjà vu. Late Friday, after Wall Street had already packed up for the weekend, Moody's quietly dropped the hammer: the U.S. just got its <a href="https://www.benzinga.com/news/econ-s/25/05/45479078/moodys-downgrades-us-credit-rating-over-debt-deficit-concerns">credit rating cut from Aaa to Aa1</a>.
If this feels familiar, that's because it is &#8211; and the market's playbook has been pretty consistent. The real question now: Will the market freak out for the third time, or has it finally learned to chill?
<h2 class="wp-block-heading">Another 10% Correction Coming?</h2>
Let's rewind.
In August 2011, Standard &amp; Poor's made history by downgrading U.S. debt for the first time ever. The result? A 10.37% drop in the S&amp;P 500 Index over the next 41 trading days, <a href="https://x.com/adamkhootrader/status/1923970924589744439">according</a> to data analyzed by Piranha Profits. But fast forward 12 months, and the index was up 36%. Investors who bought the dip didn't just survive &#8211; they thrived.
Then came August 2023, when Fitch pulled the same move. Same script, different year. The S&amp;P 500 slid 10.31% over 58 trading days. But again &#8211; patience paid off. One year later, stocks were up a cool 37%.
Now, here comes Moody's, joining the downgrade party. And yes, if the market follows precedent, we could be looking at another 10% correction.

But here's the twist &#8211; after two prior false alarms, has Wall Street stopped reacting to credit downgrades like it's the end of the world? After all, these cuts haven't exactly spelled disaster in the long run. Quite the opposite.
And let's not ignore the context: strong earnings from tech giants, resilient consumer spending, and cooling inflation may give bulls a reason to shrug this one off.
But if markets do panic on Monday, history suggests it could be yet another gift-wrapped opportunity to scoop up high-quality stocks at a discount.
Because if there's one thing we've learned, it's this: America's credit rating may slip &#8211; but investor memory tends to fade faster than a market dip lasts.
For investors holding broad S&amp;P 500 ETFs like SPDR S&amp;P 500 ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SPY#NYSE">SPY</a>), iShares Core S&amp;P 500 ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/IVV#NYSE">IVV</a>), and Vanguard S&amp;P 500 ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/VOO#NYSE">VOO</a>), the Moody's downgrade may feel unsettling at first glance &#8211; especially heading into Monday's open. But history offers a useful compass. During the past two U.S. debt downgrades in 2011 and 2023, the S&amp;P 500 fell over 10% within two months, only to surge more than 35% over the following year. If markets follow a similar playbook, any short-term volatility could prove to be a golden buying window for long-term investors. 
In other words, don't be surprised if passive index investors wind up thanking Moody's by this time next year.

Preliminary results from the first patient demonstrated that PM359 was well-tolerated, showed rapid engraftment and restored NADPH oxidase activity to well above the threshold for clinical benefit, as measured by the dihydrorhodamine (DHR) assay.
CGD is a rare inherited disease that leads to recurrent, debilitating and often life-threatening infections. It is caused by mutations in genes, including&nbsp;NCF1, that encode proteins that form the NADPH oxidase complex, an enzyme that kills bacteria and fungi to control infection. PM359, an ex vivo Prime Edited autologous hematopoietic stem cell (HSC) product for the treatment of p47phox CGD and the first Prime Editor generated therapy to be administered in humans, is designed to correct the delGT mutation in NCF1, the most prevalent disease-causing mutation in the p47phox variant of CGD, thereby addressing its underlying pathophysiology. Prime Medicine estimates that CGD causative mutations occur in between one in 100,000 and one in 200,000 births in the United States, with approximately 25 percent of patients presenting with the p47phox form of the disease.

Hong Kong leading logistics solutions provider New Century Logistics (BVI) Limited (hereinafter referred to as "New Century") today announced the formal signing of a Memorandum of Understanding ("MOU") with Silk Way Airlines Limited (hereinafter referred to as "Silkway"), a well-known air cargo airline in Hong Kong. Both parties will explore innovative solutions in the international air freight logistics sector based on resource sharing and complementary strengths, aiming to enhance global supply chain efficiency for their clients.
Stronger collaboration
According to the MOU, New Century and Silkway will conduct in-depth cooperation in the following directions:
