Reuters Reported Late Wednesday That KKR And Francisco Partners Are Competing To Acquire Instructure

Shares of education technology firm Instructure Holdings Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/INST#NYSE">INST</a>) are trading higher Tuesday on above-average volume despite a lack of company-specific news. Here&#8217;s a look at <a href="https://www.benzinga.com/quote/INST">what&#8217;s going on</a>.
What To Know: Instructure Holdings shares were up more than 6% at one point Tuesday afternoon, adding to gains of nearly 24% over the last month. The stock began moving higher in early May after the company reported first-quarter financial results and issued upbeat guidance for the second quarter.
The momentum picked up in mid-May after Reuters reported that private equity firm Thoma Bravo was exploring a sale of the company. 
Thoma Bravo took Instructure private in 2020 for $2 billion. The private equity firm then returned Instructure to public markets a year later via an initial public offering at $20 per share. Instructure shares have underperformed the S&amp;P 500 significantly since that time. Thoma Bravo currently owns 83% of Instructure Holdings. 
Instructure CFO Peter Walker also spoke at the Baird Global Consumer, Technology &amp; Services&nbsp;Conference last week and provided medium-term financial targets, which could be adding fuel to some of the recent momentum.
Walker reportedly said the company&#8217;s Core Products are expected to grow between 5% and 10% annually, while its Growth Products are expected to grow at a clip of 10% to 15%. Overall organic growth is projected at 9% to 11% over the medium-term.
Instructure Holdings&#8217; average session volume is about 290,000, according to <a href="http://pro.benzinga.com">Benzinga Pro</a>. Tuesday&#8217;s session volume had exceeded 1 million at the time of writing.

What Happened: On Friday, Reuters reported that private equity firm Thoma Bravo is exploring a sale of Instructure Holdings. Thoma Bravo owns 83% of the education software provider. 
Instructure Holdings shares jumped in early trading Monday and have continued to trend higher. Instructure Holdings had a market cap of $2.96 billion as of Friday&#8217;s close, per <a href="http://pro.benzinga.com">Benzinga Pro</a>. 
People familiar with the matter reportedly said Thoma Bravo has tapped JP Morgan Chase &amp; Co (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/JPM#NYSE">JPM</a>) to get a feel for the level of interest of potential buyers, including buyout firms.
Instructure provides software to schools, colleges and universities, featuring its flagship learning management system Canvas. The Salt Lake City-based company has over 8,000 customers in more than 100 countries.
Thoma Bravo took Instructure private in 2020 for $2 billion. The private equity firm then returned Instructure to public markets a year later via an initial public offering at $20 per share. Instructure shares have traded relatively flat since that time, underperforming the S&amp;P 500 by a wide margin. 
Instructure reported financial results for the first quarter near the beginning of the month. The company delivered revenue growth of 20.7% on a year-over-year basis, but missed earnings estimates for the quarter. As of March 31, Instructure had $89.3 million in cash and cash equivalents and $1.173 billion in debt.

Private equity firm Thoma Bravo is exploring a sale of Instructure <a href="https://www.reuters.com/markets/companies/INST.N">(INST.N), opens new tab</a>, a U.S. education software provider with a market value of $3 billion, people familiar with the matter said on Friday.
Thoma Bravo, which holds an 83% stake in the company, has tapped JPMorgan Chase <a href="https://www.reuters.com/markets/companies/JPM.N">(JPM.N), opens new tab</a> to gauge the interest of potential buyers that include other buyout firms, the sources said.
The sources cautioned no deal is certain and requested anonymity because the matter is confidential.
Thoma Bravo, Instructure and JPMorgan did not immediately respond to requests for comment.
Shares in Instructure, which carried debt of close to $1.2 billion at the end of March, jumped 9% to $22 in afterhours trading in New York on the news.
Based in Salt Lake City, Instructure provides software to schools, colleges and universities. It has over 8,000 customers in more than 100 countries.
The company's flagship learning management system is called Canvas and competes with programs such as Google Classroom, Blackboard Learn and Schoology.
Thoma Bravo took Instructure private in 2020 for $2 billion before returning it to the stock market a year later through an initial public offering. Instructure's shares are still hovering around their $20 IPO price three years later, as a boom the company enjoyed from spending on remote learning during the COVID-19 pandemic fizzled when competition from rivals intensified.
Earlier this year, Instructure completed the acquisition of academic credential management platform Parchment for $835 million.
PowerSchool Holdings, another educational software vendor with a market value of $4 billion, <a href="https://www.reuters.com/markets/deals/bain-capital-talks-buy-education-software-provider-powerschool-source-says-2024-05-08/">is also exploring a sale</a> and is in talks with private equity firms.
