CACI intends to use the net proceeds from the Offering to partially repay amounts outstanding under its revolving credit facility.
The 2033 Notes will be guaranteed on a senior unsecured basis by all of CACI's subsidiaries that are borrowers or guarantors under CACI's senior credit facilities.

The U.S. Department of Transportation (DOT) is expected to declare that Corporate Average Fuel Economy or CAFE regulations implemented under the previous Biden administration exceeded the government's legal authority.
What Happened: Sean Duffy, the U.S. Transportation Secretary, said in a statement that the previous Biden administration "illegally used CAFE standards as a backdoor electric vehicle mandate – driving the price of cars up," Reuters reported on Tuesday.
This comes in as last year, over 120 House Republicans made similar comments about how the National Highway Traffic Safety Administration exceeded its authority and introduced regulations resulting in a de-facto EV mandate. NHTSA "accounted for EVs in its regulatory baseline and factored that baseline into its determination of the maximum achievable CAFE standards," they said.
The agency had last year shared that the rule would decrease Gas consumption by 64 billion gallons and cut emissions by 659 million metric tons. However, it did acknowledge that prices of some vehicles could go up.
The NHTSA had earlier shared in June that it would increase the CAFE requirements to 50.4 miles per gallon, the report suggests.
Why It Matters: House Republicans had earlier proposed to <a href="https://www.benzinga.com/tech/25/05/45277309/house-gop-representatives-want-to-axe-federal-ev-credit-amid-trumps-tax-cuts-report">axe the federal EV credit </a>offered on all EV purchases in the U.S., in a move that was opposite to calls by U.S. automakers who proposed <a href="https://www.benzinga.com/markets/25/02/43648415/tesla-rivals-call-for-gradual-elimination-of-ev-tax-credits-many-of-those-jobs-will-be-at-risk">a gradual phasing out</a> of the credit instead.
Elsewhere, EV adoption is growing in the U.S. as data suggests the sector experienced a <a href="https://www.benzinga.com/25/04/44755934/us-q1-ev-sales-data-shows-106-yoy-growth-tesla-experiences-decline-but-still-dominates-domestic-ev-sales">10.6% YoY growth</a> and several automakers are experiencing triple-digit percentage growth in EV sales in Q1 2025.

Merit Medical Systems, Inc. ("Biolife") in a merger transaction through which Biolife has become a wholly-owned subsidiary of Merit. Biolife, which is headquartered in Sarasota, Florida, manufactures unique patented hemostatic devices under the brand names StatSeal and WoundSeal.
The aggregate transaction consideration, paid in cash and assumption of Biolife liabilities, was approximately $120 million. This strategic acquisition positions Merit to provide clinicians with more products designed to standardize, simplify, and minimize post-procedure care and maintenance.

Bowman Consulting Group Ltd. ("VS&amp;Co" or the "Company") (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/VSCO#NYSE">VSCO</a>) today announced that its Board of Directors (the "Board") has approved the adoption of a limited-duration shareholder rights plan ("Rights Plan") to protect the best interests of all VS&amp;Co shareholders. The Rights Plan is effective immediately and expires in one year.
The Board, in consultation with its independent advisors, adopted the Rights Plan in response to the substantial accumulation of shares of VS&amp;Co's common stock by BBRC International Pte Limited, an entity controlled by Brett Blundy (collectively with their affiliates, "BBRC"). In deciding to adopt the Rights Plan, the Board considered, among other things, that:

<li>Starting in March 2025, BBRC began increasing its position in VS&amp;Co to approximately 13% of the outstanding shares;</li>
<li>After nearly two years of reporting its beneficial ownership as a "passive investor" on Schedule 13G, in February 2024, BBRC began reporting on a Schedule 13D;</li>
<li>BBRC made acquisitions of the Company's common stock in violation of U.S. antitrust law for nearly three years by failing to file forms required under the Hart-Scott-Rodino Act and observe the regulatory waiting period, and now has made corrective filings that will enable BBRC to acquire up to 49.99% of the Company's voting stock once the waiting period has expired, which we expect will be at 11:59 p.m., Eastern Time, on May 21, 2025;</li>
<li>BBRC has a track record of acquiring controlling interests in retail companies; and</li>
