HireQuest's Offer Provides Superior Value to TrueBlue's Stand-Alone Prospects

(TBI) that its Board of Directors has rejected HireQuest's previously announced proposal to acquire TrueBlue for $7.50 per share.
"We are disappointed that despite the positive response to our offer from TrueBlue shareholders, TrueBlue's Board not only continues to refuse to engage with us to discuss our offer but has even taken steps to deter their shareholders' ability to weigh in," said Rick Hermanns, Chief Executive Officer of HireQuest.
"The TrueBlue response does not change our belief in the compelling strategic and financial merits of our proposal. We are offering shareholders both a step up in value at closing and the opportunity to participate in the upside of the combined company. For nearly two years, we've made repeated efforts to engage with TrueBlue's Board and management about a strategic combination, however, unfortunately, they've shown no willingness to even consider an alternative path - despite overseeing a decline from $2.8 billion in revenue and $134 million in EBITDA in 2016 to $1.6 billion in revenue and negative EBITDA today."

On CNBC's &#8220;Mad Money Lightning Round,&#8221; Jim Cramer said Archer Aviation Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ACHR#NYSE">ACHR</a>) is a &#8220;bridge <a href="https://www.benzinga.com/quote/ACHR/earnings">too far&#8221; for him</a>.
On the earnings front, Archer Aviation, on May 12, reported a first-quarter loss of 17 cents per share, beating analyst estimates for a loss of 28 cents per share, according to Benzinga Pro.
Universal Technical Institute, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/UTI#NYSE">UTI</a>) can &#8220;continue to go higher because it fits the thesis of what we expect in an era of AI and the need to be on your game in non-AI jobs,&#8221; Cramer said.
Supporting his view, Universal Technical Institute, on May 7, reported better-than-expected second-quarter financial results and raised its FY25 sales guidance above estimates.
When asked about Arista Networks Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ANET#NYSE">ANET</a>), Cramer recommended going with Cisco Systems, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CSCO#NASDAQ">CSCO</a>), which is a &#8220;much cheaper&#8221; stock.
Supporting his view, Arista Networks, on May 6, reported a first-quarter sales miss.
Cramer recommended to &#8220;ring the register&#8221; on some Sezzle Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SEZL#NASDAQ">SEZL</a>) as it has gotten a &#8220;little too hot.&#8221;
On the earnings front, Sezzle reported better-than-expected first-quarter financial results and raised its FY25 guidance on May 8.
When asked about Rocket Lab USA, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/RKLB#NASDAQ">RKLB</a>), he said, &#8220;I was skeptical, but so many companies need to put up rockets, I think it's actually a decent story.&#8221;
Rocket Lab announced on May 14 that it successfully returned its Pioneer spacecraft supporting Varda Space Industries' capsule to Earth.
&#8220;Normally it would be good to have the analytics involving commercial real estate, but right now commercial real estate is not doing well in this country,&#8221; Cramer said when asked about CoStar Group, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CSGP#NASDAQ">CSGP</a>). &#8220;It does make money, though, but it's not for me.&#8221;
On April 29, CoStar Group reported a first-quarter adjusted EPS miss and issued second-quarter revenue guidance below estimates.
Viper Energy, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/VNOM#NASDAQ">VNOM</a>) is &#8220;not my cup of tea,&#8221; Cramer said.
Supporting his view, Viper Energy posted weaker-than-expected sales for the first quarter on May 5.
When asked about Fiserv, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/FI#NYSE">FI</a>), he said, &#8220;This was just a disaster, and I've got to know more because I don't like what I'm hearing.&#8221;

Last week brought the <a href="https://www.benzinga.com/economics/macro-economic-events/25/05/45394076/cpi-undershoots-but-core-inflation-stays-stubborn-jp-morgan">latest CPI numbers</a> for the US dollar. The 2.3% reading indicated that inflation moved one step closer to the 2% target. Naturally, this number also supports the desire for the Fed&#8217;s monetary relaxation through rate cuts. Alongside the pause of China&#8217;s tariffs, the result was a nearly 3% surge in the S&amp;P 500, which has staged a V-shaped recovery, moving to a striking distance near the all-time highs. 
The same cannot be said for the US dollar, which, although losing nearly 10% peak-to-trough in 2025, has only recovered about 3% of that, weighted by the Moody&#8217;s US credit rating downgrade. The Australian dollar, an important <a href="https://singaporeforexclub.com/commodity-currencies">commodity currency</a>, has fared better but hit multiple resistance levels last week and, despite good employment numbers, has started to decline. Australian dollar bearish trend continuation should be in focus over the next few weeks, particularly with the anticipated rate cut on Tuesday.
Other notable news in the week ahead will include the latest Canadian and British CPI, German PMI,&nbsp; and Canadian retail sales.

After a short rally and a brief touch of 164.500, it has reverted below once again, heightening the possibility of testing the key level around 161.150. Retail sentiment is nearly 70% long, making this pair a good forex short-selling candidate.
<h3 class="wp-block-heading">2. GBP SGD</h3>
GBP/SGD tested the key support last week, and the level of 1.71450 held the pullback. The recent movement further solidified the thesis that the short-term bottom occurred earlier this month.

<li>GBP NZD: It made a higher high after a higher low, confirming that the next part of the uptrend might be coming.</li>
<li>NZD/JPY: Swept the resistance around 87.300 before pulling back. As long as support at 84.500 holds, the pair is likely to trade higher.</li>

TXNM Energy, Inc. The acquisition price represents a 23.0% premium over TXNM Energy&#8217;s unaffected 30-day volume weighted average price (VWAP) as of March 5, 2025, the day before media reports of a potential acquisition.
This transaction reflects a total enterprise value of $11.5 billion, which includes net debt (excluding securitization debt) and preferred stock.

Blackstone Infrastructure is also making a $400 million investment through a private placement agreement, purchasing 8 million newly issued shares of TXNM Energy common stock at $50 per share to support TXNM Energy&#8217;s growth plans. This issuance is expected to be completed in June 2025.
TXNM Energy anticipates issuing an additional $400 million of equity before the transaction closes to further support its growth. The transaction is being funded through equity and the assumption of existing debt, with no new debt expected to be issued as a result of the acquisition.
TXNM Energy&#8217;s Board of Directors has unanimously approved the transaction, which is estimated to close in the second half of 2026, pending shareholder and regulatory approvals.
TXNM Energy shareholders can anticipate continued dividend payments through the transaction&#8217;s closing, subject to the Board of Directors&#8217; approval.
Upon closing the transaction, Pat Collawn will step down as Executive Chair. Notably, Pat Collawn transitioned from the current Chief Executive Officer&nbsp;to Executive Chair, <a target="_blank" href="https://www.benzinga.com/pressreleases/25/05/n45401627/txnm-energy-announces-executive-leadership-transition-of-pat-collawn-to-executive-chair-don-tarry-" rel="noreferrer noopener">effective&nbsp;July 1, 2025</a>.&nbsp;

Why Is TXNM Energy Stock Soaring On Monday?

It's downgrade déjà vu. Late Friday, after Wall Street had already packed up for the weekend, Moody's quietly dropped the hammer: the U.S. just got its <a href="https://www.benzinga.com/news/econ-s/25/05/45479078/moodys-downgrades-us-credit-rating-over-debt-deficit-concerns">credit rating cut from Aaa to Aa1</a>.
If this feels familiar, that's because it is &#8211; and the market's playbook has been pretty consistent. The real question now: Will the market freak out for the third time, or has it finally learned to chill?
<h2 class="wp-block-heading">Another 10% Correction Coming?</h2>
Let's rewind.
In August 2011, Standard &amp; Poor's made history by downgrading U.S. debt for the first time ever. The result? A 10.37% drop in the S&amp;P 500 Index over the next 41 trading days, <a href="https://x.com/adamkhootrader/status/1923970924589744439">according</a> to data analyzed by Piranha Profits. Now, here comes Moody's, joining the downgrade party. And yes, if the market follows precedent, we could be looking at another 10% correction.

<h2 class="wp-block-heading">Bulls Have Reasons To Shrug This One Off &#8211; But Will They?</h2>
But here's the twist &#8211; after two prior false alarms, has Wall Street stopped reacting to credit downgrades like it's the end of the world? After all, these cuts haven't exactly spelled disaster in the long run. Quite the opposite.
And let's not ignore the context: strong earnings from tech giants, resilient consumer spending, and cooling inflation may give bulls a reason to shrug this one off.
But if markets do panic on Monday, history suggests it could be yet another gift-wrapped opportunity to scoop up high-quality stocks at a discount.
Because if there's one thing we've learned, it's this: America's credit rating may slip &#8211; but investor memory tends to fade faster than a market dip lasts.
For investors holding broad S&amp;P 500 ETFs like SPDR S&amp;P 500 ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SPY#NYSE">SPY</a>), iShares Core S&amp;P 500 ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/IVV#NYSE">IVV</a>), and Vanguard S&amp;P 500 ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/VOO#NYSE">VOO</a>), the Moody's downgrade may feel unsettling at first glance &#8211; especially heading into Monday's open.
