Rivian Doubles Down On EV Innovation With Micromobility Spin-Off, Stock Gains

Allegro MicroSystems, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ALGM#NASDAQ">ALGM</a>) shares are trading higher premarket on Thursday after it disclosed receiving a proposal&nbsp;from ON Semiconductor Corporation (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ON#NASDAQ">ON</a>) for $35.10 per share, with an implied <a target="_blank" href="https://www.benzinga.com/pressreleases/25/03/b44157898/onsemi-proposes-to-acquire-allegro-microsystems-for-35-10-per-share-in-cash" rel="noreferrer noopener">enterprise value of $6.9 billion</a>.
The all-cash offer reflects a 57% premium over Allegro&#8217;s closing price on February 28, 2025, the last trading day before reports of <a target="_blank" href="https://www.benzinga.com/25/03/44084024/on-semiconductor-moves-to-acquire-allegro-sparking-investor-interest" rel="noreferrer noopener">onsemi&#8217;s acquisition interest surfaced</a>.
Allegro&#8217;s Board, after consulting independent financial and legal advisors, <a target="_blank" href="https://www.benzinga.com/pressreleases/25/03/g44158580/allegro-confirms-receipt-of-unsolicited-proposal-from-onsemi" rel="noreferrer noopener">deemed onsemi&#8217;s proposal inadequate</a>.
Notably, onsemi has repeatedly sought to engage Allegro MicroSystems in discussions over the past six months.
The latest proposal, submitted on February 12, 2025, raised the offer to $35.10 per share, up from an initial $34.50 per share proposal as of September 2, 2024.

Allegro MicroSystems Board Deems ON Semiconductor's $6.9B Offer 'Inadequate'

Lucid Group, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/LCID#NASDAQ">LCID</a>) shares are on the rise after the company announced the availability of its Lucid Gravity <a target="_blank" href="https://www.benzinga.com/pressreleases/25/02/n43729304/lucid-gravity-now-available-to-configure-and-order-for-customers-in-canada-on-the-lucid-motors-web" rel="noreferrer noopener">Grand Touring </a><a target="_blank" href="https://www.benzinga.com/pressreleases/25/02/n43729304/lucid-gravity-now-available-to-configure-and-order-for-customers-in-canada-on-the-lucid-motors-web" rel="noreferrer noopener">model for Canadian customers.</a>
The vehicle can now be configured via Lucid&#8217;s &#8220;Design Yours&#8221; configurator on its website, with options available in<a target="_blank" href="https://www.benzinga.com/pressreleases/25/02/n43729304/lucid-gravity-now-available-to-configure-and-order-for-customers-in-canada-on-the-lucid-motors-web" rel="noreferrer noopener"> both English and French, the company said in a press release.</a>
The Lucid Gravity Grand Touring starts at C$134,500 (~$94,900) and boasts dual electric motors delivering 828 horsepower and a projected range of over 720 km on a single charge.
This apart, the Lucid Gravity Touring variant, starting at C$113,500, is planned for release in late 2025.
Meanwhile, Lucid said that Lucid Gravity also stands out for its charging capabilities, enabling compatibility with the Tesla, Inc. Supercharger network.

What's Going On With Lucid Stock Today?

Lucid Group, Inc. The company released announcements regarding the Lucid Gravity&#8217;s innovative powertrain and charging capabilities.
The company said that Lucid Gravity, it SUV, is designed to offer both convenience and cutting-edge technology.
Starting January 31st, the vehicle will gain direct access to Tesla, Inc. Supercharger network, with no adapter required, giving it access to a charging infrastructure in the U.S. and Canada.

The SUV is equipped with a 926V powertrain and the ability to charge at up to 400 kW, the company said in a press release.
The company&#8217;s technology ensures compatibility with both 500V and 1000V charging networks, allowing customers to experience maximum charging speeds regardless of the charger they use.
At peak rates, the Lucid Gravity can add 200 miles of range in under 12 minutes. The Lucid Gravity is equipped with a 123 kWh battery and advanced thermal management systems to ensure reliable performance in various weather conditions, the company said.
With a low drag coefficient and collaboration with Panasonic on battery cell chemistry, the vehicle achieves an EPA-estimated range of up to 450 miles. Lucid has also integrated bi-directional charging, enabling the vehicle to charge other EVs. 
Touring models are planned to be available to order in late 2025 from $79,900, while Grand Touring is available to order now from $94,900.
The company said that Lucid Air owners can expect similar access to Tesla&#8217;s Supercharger network starting in the second quarter of 2025.

The decision sent ripples across the automotive industry. 
With potential eliminations of EV subsidies, restrictions on state-level emissions waivers, and relaxed federal emissions rules, <a href="https://www.benzinga.com/etfs">ETFs with exposure to the electric vehicle (EV)</a> and automotive sectors are poised for seismic shifts — some good, some bad.
<h3 class="wp-block-heading">Winners And Losers Among EV-Focused ETFs</h3>
ETFs heavily leaning toward <a href="https://www.benzinga.com/electric-vehicles">U.S.-based EV makers</a>, such as Global X Autonomous &amp; Electric Vehicles ETF (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/DRIV#NASDAQ">DRIV</a>) and iShares Self-Driving EV and Tech ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/IDRV#NYSE">IDRV</a>), are staring at potential headwinds, given their significant exposures to stocks of companies directly in the line of fire. <h3 class="wp-block-heading">Tesla's Unique Position</h3>
Here&#8217;s an interesting point to ponder. Tesla, a major constituent in most EV-focused ETFs, was up1.08% on Jan. 22 as of writing, despite the policy changes. CEO Elon Musk, who funded Trump&#8217;s presidential campaign, agreed with the 47th president on ending subsidies. 
Removal of tax credits would have<a href="https://www.benzinga.com/news/24/07/39934750/trump-presidency-and-ira-cut-would-be-devastating-for-competitors-says-elon-musk-long-term-probably"> only a slight impact on Tesla </a>but could be a major jolt to competitors reliant on subsidies, Musk says. This means Tesla can either be a potential beneficiary or in a position of disadvantage. ETFs with significant Tesla weightings like ARK Innovation ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ARKK#NYSE">ARKK</a>) and First Trust NASDAQ Clean Edge Green Energy Index Fund (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/QCLN#NASDAQ">QCLN</a>).
<h3 class="wp-block-heading">Consumer Behavior And Long-Term Talk</h3>
The potential repeal of the $7,500 federal EV tax credit could shift consumer interest back to gasoline-powered vehicles, particularly in the luxury segment. The company disclosed a conditional commitment from the U.S. Department of Energy&#8217;s Advanced Technology Vehicle Manufacturing (ATVM)<a target="_blank" href="https://www.benzinga.com/pressreleases/24/11/b42180279/rivian-receives-conditional-commitment-for-up-to-6-6-billion-loan-from-the-u-s-department-of-energ" rel="noreferrer noopener"> Loan Program for up to $6.6 billion</a>.
The loan comprises $6 billion in principal and approximately $600 million in capitalized interest.
Rivian expects the loan to support its growth and strengthen its hold in EV design, development, and manufacturing in the U.S.
If finalized, the DOE loan will help Rivian&#8217;s construction of a new facility in Stanton Springs North, Georgia, significantly expanding its U.S. production capacity to meet <a href="https://www.benzinga.com//node/42173555">domestic and international demand.</a>
The funding will primarily support the production of Rivian&#8217;s midsize platform, which includes the R2 SUV and R3/R3X midsize crossovers.
Designed, engineered, and manufactured in the U.S., these vehicles are expected to combine capability, performance, functionality, and competitive pricing, positioning them as key contributors to Rivian&#8217;s long-term growth and profitability.
The DOE loan would boost the U.S. EV industry, creating 7,500 operational jobs and 2,000 construction jobs at Rivian&#8217;s planned Georgia facility, with Phase 1 production starting in 2028.
The facility will add 400,000 units of annual capacity in two phases, supporting domestic and international markets.
These efforts complement jobs at Rivian&#8217;s Illinois plant, strengthening the U.S. EV ecosystem and economy.
Rivian plans to build a state-of-the-art manufacturing facility at the Stanton Springs site near Atlanta, incorporating advanced construction techniques, environmental management, and community investments while preserving natural spaces.
The DOE&#8217;s conditional loan commitment signals intent to finance Rivian&#8217;s project, pending fulfillment of technical, legal, environmental, and financial conditions.
If approved, the loan will be secured by the project&#8217;s assets, fixed assets, and guarantees from Rivian Automotive, Inc. and select subsidiaries.

Enphase Energy, Inc. Rivian Automotive Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/RIVN#NASDAQ">RIVN</a>) shares are trading lower today. The company is reportedly set to face trial over accusations that it prompted former Tesla Inc. employees to steal trade secrets, according to a preliminary ruling by a California judge.

Texas&#8217; solar grid has grown exponentially in the past five years. In 2019, Texas had just over 2 gigawatts of solar plants compared to California&#8217;s 13. In 2024, Texas has 23.6 gigawatts to California&#8217;s 21.2. FT acquired the data from Grid Status.
According to data from the think tank Ember, Texas generated more power from solar than coal for the first time in March.
Why it Matters: Texas has consistently voted for Republican state legislative majorities, who themselves have been historically unlikely to support green energy. The fact that Texas surpassed Democratic stronghold California could indicate that solar energy adoption has become less politicized.
The state has also seen an increase in solar manufacturing. Enphase Energy Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ENPH#NASDAQ">ENPH</a>) <a href="https://www.solarpowerworldonline.com/2024/04/welcome-to-texas-the-new-solar-valley/">manufactures</a> solar inverters in Arlington while Canadian Solar Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CSIQ#NASDAQ">CSIQ</a>) manufactures panels in Mesquite. Several other manufacturers have announced plans to produce parts in Texas.

California Loses The Solar Crown: Who's America's New Energy Star?

Benchmark&nbsp;analyst David Williams maintained&nbsp;ON Semiconductor Inc&nbsp;(NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ON#NASDAQ">ON</a>) with a Buy and lowered the&nbsp;<a target="_blank" href="https://www.benzinga.com/quote/ON/analyst-ratings" rel="noreferrer noopener">price target from&nbsp;$88&nbsp;to&nbsp;$80</a>.
While ON&#8217;s&nbsp;<a target="_blank" href="https://www.benzinga.com/news/earnings/24/04/38494497/why-is-on-semiconductor-stock-trading-higher-on-monday" rel="noreferrer noopener">results were better</a>&nbsp;than feared, with stabilization in the Auto market and moderate improvement in traditional Industrial, Williams noted that the outlook missed expectations on persistent inventory digestion and a tepid demand environment.&nbsp;
SiC remains the key momentum driver in the near term, with convincingly strong evidence of the firm&#8217;s ability to outperform the industry growth by 2x, per the analyst.&nbsp;
Although unit volume remains the wildcard, share gains across existing platforms scheduled for production this year support substantial SiC growth opportunities.&nbsp;
However, with the pace of EV adoption in question and the accelerating push toward more economical models, investors are more concerned with the potential erosion of SiC content than ON seems to be, he said.&nbsp;
While Williams recognized the SiC performance advantages extend to the lower-end platforms, the number of sockets is considerably reduced&nbsp;and will&nbsp;require meaningfully higher unit sales to offset the lower available content.&nbsp;
The near-term growth opportunity remains positive, but the analyst is increasingly cautious about the sustainability of the&nbsp;mid&nbsp;to longer-term growth trajectory on the global SiC capacity expansion coming online and an anticipated mix shift toward&nbsp;lower content&nbsp;auto platforms over time.&nbsp;
Williams projected second-quarter revenue and EPS of $1.73 billion (prior $1.81 billion) and $0.92 (prior $1.00).
Goldman Sachs&nbsp;analyst Toshiya Hari reiterated a Buy rating on ON Semiconductor with a price target of $89 (up from $81 prior).
ON reported a modest upside to Street&#8217;s first-quarter 2024 EPS expectations ($1.08 vs. $1.04) and provided a better-than-feared fiscal second-quarter adjusted gross margin outlook of 45.2% (mid-point).&nbsp;
While the near-term outlook for the SiC business remains uncertain, Hari remained constructive on the company&#8217;s long-term growth potential given its above-average exposure to applications in secular growth, including Electrification, ADAS, Energy Infrastructure, and Factory Automation.
Hari projected second-quarter revenue and EPS of $1.71 billion and $0.93.
BofA Securities&nbsp;analyst Vivek Arya affirmed a Buy rating on ON Semiconductor with a price target of $80.
Arya noted that the first-quarter results were modestly better, with a better-than-expected second-quarter miss on auto inventory correction.&nbsp;
The second-half visibility sounded murky, but the analyst expects industrial stabilization and EV recovery to benefit ON, with incremental upside from data center power upgrades.&nbsp;
Arya expects the second quarter to be&nbsp;a cycle&nbsp;bottom, with $3.68 EPS in annualized trough proforma-EPS (4x Q2 $0.92 EPS).&nbsp;
He forecasts ON&#8217;s Silicon Carbide (SiC) sales to grow about 20% YoY to $980 million, though somewhat back-half weighted.
ON maintained a mid-40&#8217;s gross margin % floor, which Arya estimated sustains through the calendar year 2024, which is&nbsp;impressive despite low
utilization (65% in Q1 and likely stable through calendar 2024).
He noted that SiC growth is on track, as well as diversification within key Chinese OEMs (now in the top 10 of EV OEMs vs 4-5 prior).
The&nbsp;calendar year 2025 gross margin % expansion levers are in place as East Fishkill&nbsp;(EFK) headwinds&nbsp;roll-off&nbsp;(GlobalFoundries Inc&nbsp;(NASDAQ: <a class="ticker" href="https://www.benzinga.com/stock/gfs#NASDAQ">GFS</a>) foundry relationship ending in 2025), along with&nbsp;$160&nbsp;million benefit from prior fab divestitures, Arya said.
The long-term gross margin upside&nbsp;is set at 53% from&nbsp;43% levels today, perhaps the highest among peers, the analyst added.
