South Bow cautions shareholders that the mini-tender offer has been made at a below-market price for the South Bow common shares. TRC Capital's unsolicited offer price of C$31.95 per share represents a discount of 4.6% to the closing price of the South Bow common shares on the Toronto Stock Exchange and the New York Stock Exchange on Oct. 28, 2024, the last trading day before the mini-tender offer was commenced, and a discount of 7.4% to the closing price on Nov. 1, 2024.

South Bow Recommends Shareholders Reject TRC Capital's Below-Market "Mini-tender" Offer To Purchase Up To 3M Shares, Or ~1.4% Of South Bow's Outstanding Common Shares, At A Price Of C$31.95 Per Share

As previously announced, on September 4, 2024, APX Acquisition Corp. I (NASDAQ:&nbsp;<a href="https://c212.net/c/link/?t=0&amp;l=en&amp;o=4293294-1&amp;h=2469645923&amp;u=https%3A%2F%2Fwww.prnewswire.com%2Fnews-releases%2Fapx-acquisition-corp-i-receives-nasdaq-notice-on-late-filing-of-its-form-10-q-302023280.html%23financial-modal&amp;a=APXI">APXI</a>) (the "Company"), received a written notice from the Listing Qualifications Department of The Nasdaq Stock Market ("Nasdaq") indicating that since the Company's aggregate market value of its outstanding warrants was less than $1 million, the Company was no longer in compliance with the Nasdaq Global Market continued listing criteria set forth in Listing Rule 5452(b)(C) (the "Rule"), which requires the Company to maintain an aggregate market value of its outstanding warrants of at least $1 million (the "Notice"). The Company subsequently submitted a plan to regain compliance with the Rule (the "Compliance Plan").
On October 29, 2024, the Company received written notice from the Staff (the "November Notice"), stating that the Compliance Plan was not accepted as the Company had provided insufficient evidence to demonstrate that it can effect the Compliance Plan by its 36-month expiration date of December 6, 2024, at which time the Company's securities will be delisted from Nasdaq in accordance with IM-5101-2, irrespective of the Company's progress or lack thereof toward regaining compliance with the Rule, and that the Staff had determined to initiate procedures to delist the Company's warrants (and, as a result of the warrants' inclusion therein, the Company's units) from Nasdaq due to the Company's non-compliance.
Pursuant to the Notice, unless the Company requests a hearing to appeal this determination by November 5, 2024, the Company's warrants and units will be suspended at the opening of business on November 5, 2024, and a Form 25-NSE will be filed with the SEC, which will remove the Company's warrants and units from listing and registration on Nasdaq (the "Warrant/Unit Delisting"). The Company does not intend to request a hearing. The Warrant/Unit Delisting does not affect the listing or trading of the Company's Class A ordinary shares on the&nbsp;Nasdaq Global Market, other than those contained within the units.

Boeing Co. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BA#NYSE">BA</a>) shares traded higher Friday as striking employees are expected to vote on a new contract proposal on Monday, Nov. 4. Here&#8217;s<a href="https://www.benzinga.com/markets/equities/24/11/41676667/boeing-sweetens-deal-with-38-wage-hike-12k-bonus-and-more-to-end-7-week-strike-vote-set-for-mond"> what you need to know.</a>
What To Know: According to<a href="https://aviationweek.com/aerospace/manufacturing-supply-chain/boeing-machinists-reach-new-tentative-deal#:~:text=The%20new%20proposed%20deal%2C%20reached,Boeing%20and%20the%20union%20show."> Aviation Daily</a>, the company announced a tentative deal with the International Association of Machinists (IAM), potentially ending a 49-day strike. This union-recommended agreement proposes a 38% wage increase over four years—13% in the first year, followed by 9% in each of the next two years and 7% in the final year. 
Additionally, workers would receive a $12,000 ratification bonus and improved 401(k) contributions. Boeing also committed to locating any new aircraft production in the Puget Sound region of Washington, a key concession for the union.
This deal comes after union members previously rejected two offers, including a 35% wage increase in October. The initial union request included a 40% wage increase and pension restorations, but the new deal focuses on wage hikes and bonuses, while pensions remain unchanged. If approved, Boeing expects production facilities to gradually reopen as early as Nov. 6, with full staffing anticipated over the following weeks.
The strike and production delays have impacted Boeing's suppliers, with some, like Spirit AeroSystems, already implementing employee furloughs. Boeing CEO Kelly Ortberg emphasized the importance of a careful restart process, citing ongoing issues with production stability and meeting FAA safety standards.
What Else: Boeing&#8217;s rating also remains on S&amp;P&#8217;s CreditWatch following a larger-than-anticipated equity issuance, which helps offset projected cash flow deficits through 2025. However, S&amp;P noted Boeing's limited flexibility for further cash flow pressures and cited ongoing strike-related and post-strike operational risks as areas of concern.
