Landsea Homes (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/LSEA#NASDAQ">LSEA</a>) shares are trading higher on Tuesday. On Monday, the company inked a definitive deal to be acquired by Apollo Global Management, Inc.&#8216;s (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/APO#NYSE">APO</a>) managed portfolio company of funds, New Home, for an enterprise value <a href="https://www.benzinga.com/pressreleases/25/05/g45362998/new-home-co-to-acquire-landsea-homes-corporation-creating-a-top-25-national-homebuilder" target="_blank" rel="noreferrer noopener">of around $1.2 billion</a>.
As per the deal, New Home will acquire Landsea Homes for $11.30 per share in an all-cash transaction.
This purchase price represents a premium of around 61% to Landsea Homes&#8217; closing share price on May 12, 2025, the last trading day before the announcement.

Upon completion of the transaction, Landsea Homes will become a privately held company, and its common stock will no longer be listed on Nasdaq.
This transaction is supported by Apollo Funds, the majority shareholder of New Home since 2021, who are committing $650 million of new cash equity to facilitate this credit-enhancing transaction and position the business for future growth.
The transaction has been unanimously approved by the Landsea Homes Board of Directors and is expected to close early in the third quarter of 2025, subject to customary closing conditions.
Following the successful completion of the tender offer, New Home will acquire all remaining shares not tendered through a second-step merger at the same price.
The combined entity is expected to provide homebuyers with a wide array of housing choices, including single-family detached and attached homes, across rapidly expanding markets in Arizona, California, Colorado, Florida, Oregon, Texas, and Washington.
This combination will establish an asset-light, returns-focused homebuilder with nearly 4,000 annual closings.
John Ho, Chief Executive Officer of Landsea Homes said, &#8220;We believe this transaction with New Home will deliver immediate cash value to our stockholders at a significant premium and provide us with a strong, well-capitalized partner to accelerate our next phase of growth.&#8221;
In a separate release, Landsea reported first-quarter 2025 adjusted loss per share of 5 cents, exceeding the consensus estimate of 9 cents loss, while sales&nbsp;of $310.8 million <a href="https://www.benzinga.com/pressreleases/25/05/g45364862/landsea-homes-reports-first-quarter-2025-results" target="_blank" rel="noreferrer noopener">missed the Street view of&nbsp;$312 million</a>.

Veea Acquires Crowdkeep For Shares Of Veea's Common Stock And Other Consideration

The U.S. Department of the Interior (DOI) will fast-track the environmental review of Anfield Energy's (OTCQB:<a class="ticker" href="https://www.benzinga.com/stock/ANLDF#OTCQB">ANLDF</a>) Velvet-Wood <a target="_blank" href="https://www.benzinga.com/topic/uranium" rel="noreferrer noopener">uranium</a> and vanadium mine in Utah, completing the process in only 14 days under newly activated emergency authority.
This review is significantly faster than the typical year-long process and is part of President Donald Trump's effort to <a target="_blank" href="https://www.benzinga.com/25/03/44433704/trump-invokes-an-act-from-the-1950s-to-boost-domestic-mineral-industry" rel="noreferrer noopener">boost the domestic mineral industry</a> and <a target="_blank" href="https://www.benzinga.com/news/25/03/44423494/trump-turns-to-beautiful-clean-coal-to-address-domestic-energy-demand" rel="noreferrer noopener">energy production</a>. It is the first project to go through DOI's new emergency permitting process, which is now available to other companies.
The Bureau of Land Management, the agency overseeing the review, follows Trump's executive order from January, when he declared a <a target="_blank" href="https://www.benzinga.com/government/regulations/25/01/43084601/trump-day-1-executive-order-tsunami-incoming-energy-inflation-immigration-in-focus-but-what-about-tariffs" rel="noreferrer noopener">national energy emergency</a>—an order aimed at scaling up oil, gas, and mineral production.
Interior Secretary Doug Burgum noted that the rapid review demonstrates the administration's urgency to restore American energy dominance.
"America is facing an alarming energy emergency because of the prior administration's climate extremist policies," he <a target="_blank" href="https://www.doi.gov/pressreleases/interior-expedites-permitting-critical-energy-project-address-national-energy" rel="noreferrer noopener">said</a> in a statement. "The expedited mining project review represents exactly the kind of decisive action we need to secure our energy future."
DOI pointed out that uranium and vanadium are critical to national energy and defense needs. Nearly all uranium consumed by U.S. nuclear reactors in 2023 was imported, primarily from Russia and Central Asia, while vanadium demand continues to be met predominantly by overseas producers.
While the government says the fast-track approach removes red tape without compromising oversight, environmental advocates are pushing back. Critics argue that compressing the review timeline eliminates meaningful public input and risks long-term environmental harm.
The founder of Uranium Watch, Sarah Fields, <a target="_blank" href="https://www.nytimes.com/2025/05/12/climate/trump-velvet-wood-uranium-utah.html" rel="noreferrer noopener">told</a> The New York Times that the process "means there's no opportunity for public comment, and the public often brings up issues to the agency that they're not aware of."
Located in San Juan County, Utah, the Velvet-Wood project sits on the historic Velvet mine site, previously active between 1979 and 1984. The site is estimated to hold 4.6 million pounds of uranium and 7.3 million pounds of vanadium in measured, indicated, and inferred resource categories.
The project proposes only three acres of new surface disturbance, using existing underground infrastructure and processing at Anfield's nearby Shootaring Canyon Mill to minimize the environmental impact.

Velvet-Wood Mine First To Use DOI's Fast-Track Permit Process

<a href="https://www.benzinga.com/quote/HOOD/analyst-ratings">Robinhood Markets, Inc.</a> (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/HOOD#NASDAQ">HOOD</a>) has signed an agreement to acquire WonderFi Technologies Inc., a Canadian cryptocurrency platform, in an all-cash transaction valued at approximately $178 million.
What Happened: The purchase price of $0.26 per share represents a 41 percent premium over WonderFi's closing price on May 12 and a 71 percent premium over its 30-day volume-weighted average price, according to a company <a href="https://newsroom.aboutrobinhood.com/robinhood-to-acquire-wonderfi/">statement</a>.
WonderFi operates Bitbuy and Coinsquare, two regulated cryptocurrency exchanges in Canada, with a reported $1.49 billion in assets under custody. 
The company will continue operating its platforms after the transaction closes. 
The deal is expected to be completed in the second half of 2025, subject to shareholder approval, regulatory review and court authorization.
Robinhood, which opened a Canadian headquarters in Toronto in 2024, will incorporate WonderFi's operations into its existing crypto business. 
According to the agreement, WonderFi's leadership team is expected to remain with the company following the acquisition. 
Employees will be added to Robinhood's Canadian workforce, which currently includes over 140 people.

The acquisition will be carried out under a statutory plan of arrangement governed by British Columbia corporate law. 
Robinhood plans to fund the purchase using existing cash reserves. No stock issuance or debt financing will be used to support the transaction.
WonderFi shareholders will receive the full purchase amount in cash. 
The company's common shares are currently listed on the Toronto Stock Exchange. The combined equity value of the transaction, on a fully diluted basis, stands at approximately $178 million.
Advisors on the deal include J.P. Morgan Securities for Robinhood and Financial Technology Partners for WonderFi. 
Legal counsel was provided by Canadian firms on both sides, including Goodmans LLP, Cassels Brock &amp; Blackwell LLP, and Mintz LLP.
