Welsbach Technology Metals Acquisition Corp. - one right to receive 1/10th of a share of common stock

The <a href="https://www.benzinga.com/topic/drug-enforcement-administration">Drug Enforcement Administration</a> (DEA) has denied accusations of improper communication with cannabis prohibitionist group Smart Approaches to Marijuana (SAM) during the Biden administration's <a href="https://www.benzinga.com/topic/cannabis-rescheduling">marijuana rescheduling process</a>.
In a recent filing <a href="https://www.marijuanamoment.net/dea-says-it-didnt-conspire-with-anti-marijuana-group-dismissing-allegedly-illegal-talks-as-gossip/">reported</a> by Marijuana Moment, the agency dismissed these allegations as "gossip." While the DEA admitted to the communication, it argued they were no unlawful ex parte and that no harm was done and therefore, the motion by<a href="https://www.benzinga.com/markets/cannabis/24/11/41726679/village-farms-is-only-cannabis-operator-selected-to-represent-weed-industry-at-dea-rescheduling-"> Village Farms International</a> (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/VFF#NASDAQ">VFF</a>) and Hemp for Victory should be dismissed.
<h3 class="wp-block-heading">Allegations Of Misconduct</h3>
Part of the accusations stem from social media posts by SAM president and CEO Kevin Sabet.
In a post May 6, 2024 on X, Sabet admitted to having conversations with &#8220;two confidential sources inside DEA.&#8221; Sabet said these discussions provided inside information about the agency's stance on marijuana rescheduling, including a claim that DEA Administrator Anne Milgram would not approve a proposed rule.
This post was presented as evidence by <a href="https://www.benzinga.com/cannabis">cannabis</a> advocacy groups to support their broader claim that <a href="https://www.benzinga.com/topic/dea-cannabis">the DEA</a> holds a contradictory position, alleging the agency is acting as both judge and participant in the cannabis rescheduling process.

<h3 class="wp-block-heading">DEA's Defense</h3>
According to the DEA's filing, the cannabis organizations' evidence is not proof of <a href="https://www.benzinga.com/24/11/42144540/dea-slammed-over-unlawful-talks-with-cannabis-opponents-the-plot-thickens">misconduct</a>. &#8220;Movants' own evidence fails to demonstrate that any unlawful ex parte communication took place," the agency said. A movant is any party that makes a motion in a case.
The DEA flatly rejected accusations of bias or impropriety, emphasizing that the submitted evidence amounts to little more than hearsay. 
"The Movants would have this tribunal embark on a fishing expedition in search of evidence to support these sweeping, unsupported claims, which at best can be categorized as gossip, not ex parte communications," the DEA stated.
It also dismissed calls for the <a href="https://www.benzinga.com/24/11/42144540/dea-slammed-over-unlawful-talks-with-cannabis-opponents-the-plot-thickens">agency's removal </a>from the rescheduling process, arguing that there is no legal precedent for such action. 
"The only authority cited by the Movants on this point simply supports the notion that specific individuals may be removed from the proceeding under the appropriate circumstances," per the filing.
Additionally, the DEA pointed out that no misconduct has been alleged against its attorneys involved in the proceedings, further undermining the motion's validity.
As a consequence, the DEA requested the motion's dismissal. "The tribunal correctly questions the seriousness of the remedies sought by the Movants and as such, should deny the motion," the agency concluded.

What To Know: Zoom Video is due to report third-quarter financial results for fiscal 2025 after the bell. Analysts expect the company to report earnings of $1.31 per share for the quarter, up from $1.29 per share a year ago. Revenue is projected at $1.16 billion, compared to $1.14 billion in the same period last year, according to <a href="https://pro.benzinga.com/dashboard">Benzinga Pro.</a>
In the company&#8217;s most-recent quarter, Zoom reported earnings of $1.39 per share, beating the estimate of $1.21 by 14.88%. Revenue came in at $1.16 billion, exceeding expectations and reflecting a 2.09% increase year-over-year.
"In Q2, we outperformed our guidance across the board and grew operating cash flow and free cash flow by 33.7% and 26.2% year over year, respectively, demonstrating our continued commitment to efficient growth," Zoom CEO Eric Yuan said last quarter.
"We also saw strength in large accounts, with customers contributing more than $100,000 in trailing 12 months revenue increasing by 7.1% year over year, and resilience in our Online business, with Online average monthly churn reaching its lowest ever rate.&#8221;
Zoom Video shares have gained nearly 24% since the company last reported earnings. The stock is currently trading at new 52-week highs ahead of earnings. Zoom Video has a 52-week low of $55.06, according to <a href="http://pro.benzinga.com">Benzinga Pro</a>. 
Multiple analysts have weighed in on Zoom shares in recent weeks leading up to earnings. Rosenblatt analyst Catharine Trebnick maintained Zoom with a <a href="https://www.benzinga.com/analyst-stock-ratings">Buy rating</a> and price target of $78. Morgan Stanley analyst Meta Marshall maintained an Equal-Weight rating and raised the price target from $68 to $86.

Interestingly, small altcoins and midcap futures saw higher liquidation volumes than Bitcoin and Ether, suggesting increased risk-taking among traders.

Editor&#8217;s note: This article has been updated to clarify that the Czech government approved a draft bill regarding cannabis cultivation rather than having legalized marijuana cultivation and possession of 50 grams as was previously reported.
The Czech government recently proposed a draft law that would reform criminal law regarding cannabis, with changes including relaxed rules on home cultivation and possession. The draft law now needs to be viewed by both chambers of Parliament.
 During a press conference, Justice Minister Pavel Blažek spoke about raising and favoring financial penalties over imprisonment for cannabis offenses.
"Our punishment system is outdated and diverging from the rest of the EU, which is obviously not good," Blažek said, <a href="https://www.echo24.cz/a/H5KfB/zpravy-vlada-schvalila-novela-trestniho-zakoniku-ministr-spravedlnosti-pavel-blazek-vezeni-konopi-tresty">reported</a> Echo24, according to translation.
Under the proposed changes, which could take months to be approved, cultivating up to three cannabis plants and possessing up to 50 grams outside the home and 25 grams inside would be legal. Cultivating four to five plants would be treated as a minor offense, but anything more than that would be considered criminal activity.
The opposition Pirate Party argued that the proposal is inadequate because allowing cultivation of several plants does not permit their harvest, as three plants could yield up to 300 grams.
"Instead of legalization and additional revenue for the budget, the government presents a botched proposal," said former Deputy Prime Minister and ex-leader of the Pirate Party Ivan Bartoš. "You can grow cannabis, but you can't harvest it. Allowing the cultivation of three cannabis plants while limiting possession to 50 grams at home is absurd. It's like being allowed to keep three hens, but if they lay more than one egg, you face a fine or jail time."
Bartoš further argued that proposal is complicating the situation for up to 600,000 medical marijuana patients. The Pirate Party plans to propose increasing the legal possession limit to 900 grams.
The government wants to implement the approved changes before the end of its term.

Czech Government Approves Draft Law That Would Legalize Cultivation Of 3 Cannabis Plants, Possession Of 50 Grams (UPDATED)

The COP29 climate summit in Baku, Azerbaijan, concluded yesterday with an agreement to provide $300 billion annually to developing nations by 2035, helping to mitigate and adapt to the impacts of <a href="https://www.benzinga.com/topic/climate-change">climate change</a>. While hailed as progress to the <a href="https://www.benzinga.com/news/global/24/11/41925800/urgency-debate-mark-cop29-as-leaders-push-for-carbon-market-rules-worry-about-trump">previous $100 billion commitment</a>, the sum fell short of the $1.3 trillion initially identified as necessary to address the crisis.
&#8220;Without more substantial financing, many vulnerable countries will remain underprepared for escalating climate challenges,&#8221;<a href="https://www.wri.org/news/statement-cop29-finance-deal-downpayment-safer-more-equitable-future"> said</a> Ani Dasgupta, CEO of the World Resources Institute.
The agreement has drawn mixed reactions. Per BBC, India<a href="https://www.bbc.com/news/articles/cd0gx4przejo"> criticized</a> the deal as a "paltry sum," while Nigeria labeled it a "joke." Delegates from the Marshall Islands expressed disappointment, describing the funding as woefully inadequate, yet acknowledged it as a starting point.
Meanwhile, wildlife conservation organization WWF expressed concern, calling the deal far below the ambition needed.
"The world has been let down by this weak climate finance deal. This is a serious blow to climate action, but it must not stall the solutions that are desperately needed around the world,"<a href="https://wwf.panda.org/wwf_news/press_releases/?12844466/COP29-outcome"> said</a> WWF Global Climate and Energy Lead and COP20 President Manuel Pulgar-Vidal.
The world remains on track for a temperature rise of 3.1°C by the century&#8217;s end. That&#8217;s far above the Paris Agreement&#8217;s goal of limiting warming to 1.5°C, according to<a href="https://news.un.org/en/story/2024/10/1156071"> recent</a> UN reports.
Under the 1992 UN Framework Convention on Climate Change, 23 developed nations and the European Union must contribute to climate finance. The agreement also encourages private investment and contributions from institutions like the World Bank to meet the funding targets. The funds will support adaptation efforts. That includes building flood-resistant infrastructure and sustainable agriculture and facilitating a transition to renewable energy in developing nations.
Additionally, the summit finalized rules for a global carbon market. This system will allow companies to offset emissions by purchasing credits linked to reforestation and renewable energy initiatives. These efforts aim to accelerate the implementation of Nationally Determined Contributions (NDCs), with countries required to update their climate action plans by February 2025.
President Joe Biden<a href="https://www.whitehouse.gov/briefing-room/statements-releases/2024/11/23/statement-from-president-joe-biden-on-conclusion-of-cop29-conference-in-baku-azerbaijan/"> called</a> the agreement "an essential step toward mobilizing funds to combat the climate crisis" while acknowledging the work ahead. However, President-elect Donald Trump's return raises doubt over the future of U.S. involvement, particularly given his previous withdrawal from the Paris Agreement.
The Brazilian city of Belém will host the next summit, COP30, in November 2025. Brazilian officials have promised a high-stakes event they call the "COP of COPs," focusing on limiting global warming to 1.5°C.
