Viper Energy To Acquire Sitio Royalties In $4.1B All-Equity Deal, Expanding Permian Basin Presence

Vera Therapeutics, Inc. ("Vera"), a late clinical-stage biotechnology company focused on developing and commercializing transformative treatments for patients with serious immunological diseases, today announced that it has entered into a new credit facility providing for up to $500 million of term loans with its current partner Oxford Finance LLC ("Oxford"). The new credit facility will replace Vera's existing $50 million credit facility. The initial funding of the new credit facility will be in a principal amount of $75 million and is expected to occur on June 4, 2025.
Highlights of the new credit facility include:

<li>Increased Capital Availability:&nbsp;Added $450 million of discretionary incremental capacity available in five tranches. At its discretion, Vera may draw up to $50 million from January 1, 2026 through December 31, 2026, not subject&nbsp;to&nbsp;additional performance milestones. Vera has the option to draw $75 million upon accelerated approval of atacicept in immunoglobulin A nephropathy (IgAN), two $50 million tranches post accelerated approval and subject to commercial milestones, and up to $200 million at the mutual discretion of Vera and Oxford.</li>
<li>Improved Structure &amp; Financial Flexibility:&nbsp;Extended the interest only period by up to 42 months and maturity by up to 41 months.&nbsp;As a result of this refinancing, Vera will no longer be required to make principal payments in 2026. The new facility also reduced prepayment and final-payment fees and, combined with the reduced interest rate, results in a cost-effective refinancing that significantly lowers Vera's cost of capital. &nbsp;</li>

What Happened: In a post on X, Obama wrote, "Here's something everybody should be paying attention to: Congressional Republicans are trying to weaken the Affordable Care Act and put millions of people at risk of losing their health care.

Why It Matters: The GOP Bill, which <a href="https://www.benzinga.com/25/05/45558613/house-advances-trumps-sweeping-one-big-beautiful-bill-after-key-medicaid-tax-and-border-security-changes">made its way through Congress</a> and is now being debated in the Senate, aims to <a href="https://www.benzinga.com/general/health-care/25/05/45344596/house-republicans-push-880-billion-medicaid-cuts-to-renew-trump-tax-breaks-democrat-warns-millions-will-lose-their-health-care">reduce federal health spending</a> by introducing changes to Medicaid and ACA insurance marketplaces.
These revisions could reduce enrolment in public health programs by more than 10 million people over the next decade. The changes wouldn't dismantle the ACA outright but would restrict eligibility, impose more frequent verification checks, shorten enrolment windows, and delay regulatory updates intended to simplify access.
The plan would also add work requirements for certain Medicaid enrolees and limit state mechanisms that increase federal matching funds. "It is very much like a backdoor repeal and replace," said Matt Salo, former executive director of the National Association of Medicaid Directors. The Congressional Budget Office projects that 7.6 million fewer people would be on Medicaid and 3.1 million fewer on ACA plans if the legislation is enacted.
Meanwhile, Office of Management and Budget Director&nbsp;Russell Vought&nbsp;<a href="https://www.benzinga.com/news/politics/25/06/45717492/medicaid-cut-concerns-are-totally-ridiculous-says-trumps-budget-chief-russell-vought-quips-i-love-e" target="_blank" rel="noreferrer noopener">dismissed fears about Medicaid cuts</a>&nbsp;as &#8220;ridiculous,&#8221; and Speaker&nbsp;Mike Johnson&nbsp;(R-La.) argued that those who lose Medicaid&nbsp;<a href="https://benzinga.com/node/45716936" target="_blank" rel="noreferrer noopener">will do so by personal choice</a>.
Dr.&nbsp;Mehmet Oz, leading the Centers for Medicare and Medicaid Services (CMS), said the proposed eligibility requirements are not about withdrawing care but about making sure the <a href="https://www.benzinga.com/news/health-care/25/06/45719002/im-trying-to-save-medicaid-says-trump-appointed-cms-chief-dr-oz-as-cbo-estimates-7-6-million-could-lose-coverage-under-gops-big-beautiful-bill/">program survives long-term</a>.
