Alcon

Alcon is one of the leading visioncare companies in the world. Following nine years as a Novartis subsidiary, it was spun off as a public company in April 2019. Alcon operates in two segments: visioncare and surgical. Visioncare comprises contact lenses, lenscare solutions, and a suite of ocular health products. With brands like Dailies, Total1, and Air Optix, Alcon controls about one fourth of the US contact lens market. Surgical comprises intraocular lenses, ophthalmic surgical equipment, and consumables used during surgeries. Its main products include Centurion, a phacoemulsification device used during cataract surgeries, and a portfolio of IOLs including PanOptix and Vivity. Alcon has one of the largest installed bases of eye surgical equipment in the world.

Alcon Secures CE Mark For Clareon Vivity IOL, Bringing Next-Generation Presbyopia Correction To Europe

Shares of eye care company Alcon AG (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ALC#NYSE">ALC</a>) are <a target="_blank" href="https://www.benzinga.com/movers" rel="noreferrer noopener">trading higher on Monday</a>.
The company has agreed to acquire LENSAR Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/LNSR#NASDAQ">LNSR</a>), a firm recognized for its laser solutions in cataract surgery.
Under the terms of the deal, Alcon will purchase LENSAR shares for&nbsp;$14.00&nbsp;per share in cash for an aggregate implied value of approximately&nbsp;$356 million. The deal also an additional non-tradeable contingent value right offering up to&nbsp;$2.75&nbsp;per share in cash, conditioned on the achievement of 614,000 cumulative procedures with LENSAR&#8217;s products between January 1, 2026, and December 31, 2027. The transaction represents a total consideration of up to approximately&nbsp;$430 million.

The transaction is set to close by mid-to-late 2025, pending regulatory and shareholder approvals. Alcon held <a target="_blank" href="https://www.benzinga.com/pressreleases/25/02/b43957894/alcon-reports-full-year-2024-results-with-strong-top-line-and-earnings-growth-and-record-cash-gene" rel="noreferrer noopener">$1.7 billion in cash and equivalents </a>as of December 31, 2024.

The acquisition will expand Alcon&#8217;s femtosecond laser-assisted cataract surgery (FLACS) offerings by integrating LENSAR&#8217;s ALLY Robotic Cataract Laser System, Streamline software, and additional laser technologies.
The system aims to reduce reliance on blade incisions while improving surgical outcomes, particularly in managing astigmatism and other complex cataract conditions.
Currently, there are more than 5 million cataract procedures in the U.S. and approximately 32 million globally.
Price Action: ALC stock traded higher by 1.91% at $92.29 while LNSR is down 2.40% at $14.47 at last check Monday.
