Spirit's existing bondholders agreed to take a $350 million ownership position in a reorganized airline and erased $795 million of debt. The troubled airline also saw its stock delisted from the New York Stock Exchange (the ticker was SAVE) and is now trading in the over-the-counter marketplace. Spirit disclosed the shares are expected to be canceled and will have no value when the reorganization process is completed. 
Spirit <a href="https://www.sec.gov/ix?doc=/Archives/edgar/data/1498710/000095010324016405/dp220813_8k.htm">approved</a> large retention bonuses for its top executives on Nov. 12, six days before the company announced the restructuring and filed for bankruptcy. CEO Christie&#8217;s retention bonus was $3.8 million, which he gets to keep if he remains with the company for another year.

As Spirit Airlines Files For Bankruptcy Experts Weigh Potential Impact On Flight Prices: 'This Is Not A Black And White Situation'

-The New York Stock Exchange ("NYSE", the "Exchange") announced today that the staff of NYSE Regulation has determined to commence proceedings to delist the common stock of Spirit Airlines, Inc. (the "Company") — ticker symbol SAVE — from the NYSE. Trading in the Company's common stock will be suspended immediately.
NYSE Regulation reached its decision that the Company is no longer suitable for listing pursuant to NYSE Listed Company Manual Section 802.01D after the Company's November 18, 2024 press release and Form 8-K disclosures that the Company has commenced a prearranged chapter 11 process in the United States Bankruptcy Court for the Southern District of New York. In reaching its delisting determination, NYSE Regulation notes the Company disclosed that all of the Company's existing common stock and other equity interests will be cancelled without any distributions to the holders of such common stock and other equity interests on account thereof.
The Company has a right to a review of this determination by a Committee of the Board of Directors of the Exchange. The NYSE will apply to the Securities and Exchange Commission to delist the common stock upon completion of all applicable procedures, including any appeal by the Company of the NYSE Regulation staff's decision.

Spirit Airlines shares are trading lower after the company announced that it entered into a restructuring support agreement and commenced a prearranged chapter 11 process.

Spirit Airlines, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SAVE#NYSE">SAVE</a>) shares are trading higher premarket on Monday. The company disclosed a restructuring support agreement (RSA) with a supermajority of its loyalty and convertible bondholders to implement a <a target="_blank" href="https://www.benzinga.com/pressreleases/24/11/n42030743/spirit-airlines-announces-comprehensive-agreement-to-deleverage-balance-sheet-and-position-the-com" rel="noreferrer noopener">comprehensive balance sheet restructuring</a>.
The plan aims to reduce debt, enhance financial flexibility, support long-term success, and accelerate investments to improve guest travel experiences and value.
The company&#8217;s key measures include a $350 million backstopped equity investment from existing bondholders and the equitization of $795 million in funded debt.
Additionally, bondholders are providing $300 million in DIP financing, complemented by Spirit&#8217;s cash reserves and operational cash flow, to support the restructuring process.
Spirit has filed a Plan of Reorganization as part of its Chapter 11 process, incorporating the terms of the RSA and awaiting Court approval.
With support from a supermajority of loyalty and convertible bondholders, the company expects to emerge from Chapter 11 in the&nbsp;first quarter of 2025.
First-day motions are also being filed to ensure normal business operations during the process.
As a result of the filing, Spirit anticipates being delisted from the NYSE soon, with its common stock continuing to trade over-the-counter. The shares are expected to be canceled and hold no value as part of the restructuring.

Spirit Airlines Eyes Restructuring With Chapter 11 Filing And Equity Injection

Spirit Airlines, Inc. ("Spirit" or the "Company") (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SAVE#NYSE">SAVE</a>) today announced that it has entered into a restructuring support agreement (the "RSA") supported by a supermajority of Spirit's loyalty and convertible bondholders on the terms of a comprehensive balance sheet restructuring. The restructuring is expected to reduce Spirit's debt, provide increased financial flexibility, position Spirit for long-term success and accelerate investments providing Guests with enhanced travel experiences and greater value. &nbsp;
In connection with the RSA, Spirit has received backstopped commitments for a $350 million equity investment from existing bondholders and will complete a deleveraging transaction to equitize $795 million of funded debt. To implement the RSA, the Company has commenced a prearranged chapter 11 process in the United States Bankruptcy Court for the Southern District of New York (the "Court"). Existing bondholders are also providing $300 million in debtor-in-possession ("DIP") financing, which, together with Spirit's available cash reserves and cash provided by operations, is expected to further support the Company through the chapter 11 process.&nbsp;
Spirit expects to continue operating its business in the normal course throughout this prearranged, streamlined chapter 11 process. Guests can continue to book and fly without interruption and can use all tickets, credits and loyalty points as normal. The chapter 11 process itself will not impact Team Member wages or benefits, which are continuing to be paid and honored for those employed by Spirit. Vendors, aircraft lessors and holders of secured aircraft indebtedness will continue to be paid in the ordinary course and will not be impaired.

As part of the chapter 11 process, Spirit is filing a proposed Plan of Reorganization (the "Plan") that incorporates the agreed terms of the RSA and is subject to confirmation by the Court. The Company has received support from a supermajority of its loyalty and convertible bondholders and expects to emerge from a streamlined chapter 11 process in the first quarter of 2025.&nbsp;
In conjunction with the petition, Spirit has filed a series of first-day motions, which, once approved by the Court, will further facilitate the Company operating its business in the ordinary course during the streamlined chapter 11 process.  &nbsp;
As a result of the chapter 11 filing, Spirit expects to be delisted from the New York Stock Exchange in the near term. The Company expects that its common stock will continue to trade in the over-the-counter marketplace through the chapter 11 process. The shares are expected to be cancelled and have no value as part of Spirit's restructuring.&nbsp;

Observers praised the deal as poetic justice, considering Jones owes over $1 billion in defamation judgments against those families. Sinclair, the parent company, took on $8 billion in debt to buy regional channels from Fox for $10.6 billion in 2019. That debt contributed to Diamond&#8217;s bankruptcy.

The talks are specifically in regard to about $1 billion worth of senior secured notes due in 2025 and $500 million worth of convertible senior notes due in 2026. Besides the debt restructuring conversations, the airline is exploring alternatives and other ways to improve liquidity.
The company said that its conversations with noteholders have been productive. It also warned that if an agreement is reached it could lead to cancellation of Spirit&#8217;s existing equity.
Although the company cannot file its third-quarter earnings on time, it did provide some financial estimates for the quarter. Specifically, the airline anticipates adjusted operating margin to fall by 12% compared to the same period last year, citing revenue challenges and rising expenses.
Spirit estimates that total operating revenues decreased by $61 million year-over-year, while total adjusted operating expenses increased by approximately $52 million.

In premarket trading on Wednesday,&nbsp;the SPDR S&amp;P 500 ETF Trust (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SPY#NYSE">SPY</a>) fell 0.11% to $596.25 and the&nbsp;Invesco QQQ ETF (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/QQQ#NASDAQ">QQQ</a>) declined 0.12% to $512.30, according to&nbsp;<a href="https://benzinga.grsm.io/lxquj26b2sag" target="_blank" rel="noreferrer noopener">Benzinga Pro data</a>.
Cues From Last Session:
The S&amp;P 500 and Nasdaq both snapped their five-session winning streak on Tuesday, edging lower as investors took a breather.
Crude oil prices remained under the $70 mark but edged up due to near-term supply tightness.
Treasury yields eased a little as investors await inflation data.
On the economic data front, U.S. consumer inflation expectations for the year ahead eased to 2.9% in October compared to 3% in each of the prior four months.
The RealClearMarkets/TIPP Economic Optimism Index rose 13.4% in November to a reading of 53.2, recording the highest reading in over three years.
Most sectors on the S&amp;P 500 closed on a negative note, with materials, health care, and real estate stocks recording the biggest losses on Tuesday.
However, information technology and communication services stocks bucked the overall market trend, closing the session higher.

Insights From Analysts:
Ryan Detrick, chief market strategist at Carson Group, thinks that the Fed has enough room to cut interest rates further without worrying about a surge in inflation. According to him, the "strong productivity" will help keep inflation capped.
"As long as productivity remains strong (like we think it should) the path is there for the Fed to continue to cut interest rates and not worry about inflation soaring back."
However, analysts at BlackRock Investment Institute <a href="https://www.blackrock.com/us/individual/insights/blackrock-investment-institute/weekly-commentary">expressed</a> caution on inflation.
"We focus on U.S. CPI to see if inflation will keep falling toward the Fed's 2% target. Short-term inflation has been decreasing, with immigration boosting the labor supply and cooling wage growth. However, recent services PCE data remains sticky, indicating that inflation may settle above 2% in the medium term."
Over the longer term, though, an aging population could maintain a persistent upward pressure on inflation, the firm said.
Wells Fargo's lead economist Jay Bryson echoed similar sentiments, saying, "The October CPI report will likely support the notion that the last mile of inflation&#8217;s journey back to target will be the hardest."
WisdomTree and Wharton School economist&nbsp;Jeremy Siegel continued to stress that the equity markets have enough gas in them to continue the ongoing bull run.
"The ‘bull market' sentiment remains intact, though valuations remain a watch point," he said, adding that the expectations of "lighter regulations" from President-elect Donald Trump's administration would benefit equities.
"The bull market in stocks looks set to continue, while bonds face a rougher road," Siegel said but noted that the gains that equity investors have been seeing this year are unlikely to repeat in 2025.

S&P 500, Dow Futures Dip As Investors Brace For Key Inflation Data: Expert Says 'Strong Productivity' Will Cap Inflation Despite Fed's Rate Cuts

Shares of Rocket Lab USA, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/RKLB#NASDAQ">RKLB</a>) rose sharply in today's pre-market trading after the company reported better-than-expected <a href="https://www.benzinga.com/general/space/24/11/41922070/rocket-lab-q3-earnings-revenue-beat-eps-beat-continued-strong-demand-growth-multi-launch-agreement-air-force-award-and-more">third-quarter financial results</a>.
The company also announced a multi-launch agreement with a confidential commercial satellite constellation operator and was awarded a federal defense contract worth up to $8 million.
Rocket Lab USA shares jumped 28.7% to $18.86 in the pre-market trading session.

What Happened: The budget airline is in discussion with its noteholders for potential bankruptcy or out-of-court restructuring that has been underway for months. This comes after Spirit&#8217;s effort to merge with Frontier Group Holdings Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ULCC#NASDAQ">ULCC</a>) and its takeover by JetBlue Airways Corporation (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/JBLU#NASDAQ">JBLU</a>) fell out.

Why It Matters: As the ultra-discount airline&#8217;s efforts to save itself fail, its equity holders may suffer because of the cancellation of shares. However, the company&#8217;s statement indicates that the plan that it is trying to negotiate would not hamper general unsecured creditors, employees, customers, vendors, suppliers, aircraft lessors, or the holders of its secured debt backed by aircraft.
The bondholders include the owners of about $1 billion, 8% coupon loyalty bonds which are due 2025 and $500 million in unsecured convertible bonds due 2026. This former debt is backed by claims on elements of the company's frequent-flyer program.

Price Action: The shares of Spirit Airlines have underperformed the NYSE Composite on a year-to-date basis as it has fallen by 80.31%, whereas the index gave a 17.88% return in the same period. The relative strength index at 40.79 shows that the stock is neither overbought nor oversold.
The consensus estimates of all the 12 analysts tracking the stock as per Nasdaq, is a &#8220;sell&#8221; with an average price target is $2.13 apiece.
