What happened: In a Form S-3 registration statement with the SEC, the firm proposed to offer $500 million in securities, including debt securities, common stock, units, and warrants.
"We intend to use the net proceeds from the sale of any securities offered under this prospectus primarily for general corporate purposes, including the acquisition of Bitcoin," Semler said.&nbsp;
Semler <a href="https://www.benzinga.com/markets/cryptocurrency/24/05/3904">adopted Bitcoin as its primary treasury reserve asset</a> in May 2024,&nbsp; funding its purchases through corporate maneuvers such as equity and debt financings, as well as cash flows from its operations.

Earlier in January, the firm<a href="https://www.benzinga.com/markets/cryptocurrency/25/01/43195291/microstrategy-devotee-semler-scientific-doubles-down-on-bitcoin-buys"> issued convertible bonds worth $85 million</a> and used proceeds from the transaction to add to its Bitcoin reserves.

What Happened: In a detailed X <a href="https://x.com/cryptoquant_com/status/1907377531143016915">thread</a> on Wedneday, research firm CryptoQuant pointed out that despite public companies accumulating 91,781 BTC in Q1, Bitcoin dropped 12%, from $94,400 to $82,500. 
Tether emerged as a surprise buyer, adding 8,888 BTC, while Strategy (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/MSTR#NASDAQ">MSTR</a>) made the largest move, acquiring 81,785 BTC for more than $8 billion.
Other buyers included The Blockchain Company (+605 BTC), Semler Scientific Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SMLR#NASDAQ">SMLR</a>) (+1,108 BTC) and Metaplanet (+2,285 BTC) (OTC:<a class="ticker" href="https://www.benzinga.com/stock/MTPLF#OTC">MTPLF</a>). 
On-chain analytics shows more corporate buying could be on the horizon, with Marathon Digital (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/MARA#NASDAQ">MARA</a>) planning a $2 billion stock sale for BTC purchases and GameStop (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GME#NYSE">GME</a>) exploring a $1.3 billion Bitcoin strategy through a convertible note offering.
However, the price decline was driven by long-term holders selling 178,000 BTC in Q1, outweighing corporate accumulation. Additionally, $4.8 billion in Bitcoin ETF outflows added further downward pressure on price.

The good news is we sold our $55 strike calls on SMLR on Monday for $2.91, earning a 288% gain.&nbsp;
The bad news is that had we waited until Friday instead, we could have sold them for about $10, which would have given us a gain of about 1,300%.&nbsp;

Update On Our Better Way To Play Bitcoin

U.S. stocks were higher, with the Dow Jones index gaining over 300 points on Friday.

<h2 class="wp-block-heading">Semler Scientific May Have More Upside From Here</h2>
We have positions in both MicroStrategy and Semler Scientific, but Semler may have more upside than MicroStrategy from here. Its stronger fundamentals and more recent adoption of the Bitcoin Balance Sheet Strategy may mean it has more dry powder to acquire Bitcoin relative to its market cap. It already has almost as much Bitcoin as a percentage of market cap than MicroStrategy does, despite having followed this strategy for less than a year. And if it becomes harder to raise money to buy Bitcoin, having a profitable underlying business means Semler Scientific will continue to be able to buy Bitcoin.&nbsp;
As more investors find out about Semler Scientific and compare it to MicroStrategy, it may become a higher-levered play on Bitcoin than MicroStrategy.&nbsp;

A Better Way To Play Bitcoin?

Semler Scientific, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SMLR#NASDAQ">SMLR</a>), a pioneer in developing and marketing technology products and services to healthcare providers to combat chronic diseases, today announced updates regarding its bitcoin (BTC) activity and holdings, capital markets activity, and BTC Yield, a key performance indicator.
BTC Update
Between December 16, 2024 and January 10, 2025, Semler Scientific acquired 237 bitcoins for $23.3 million with proceeds generated from its at-the-market (ATM) offering and operating cash flow at an average price of $98,267 per bitcoin, inclusive of fees and expenses. As of January 10, 2025, Semler Scientific held 2,321 bitcoins, which were acquired for an aggregate $191.9 million at an average purchase price of $82,687 per bitcoin, inclusive of fees and expenses.
ATM Update
As previously disclosed in Semler Scientific's registration statement on Form S-3 that became effective on August 13, 2024 (the S-3 Shelf), Semler Scientific entered into a Controlled Equity OfferingSM&nbsp;Sales Agreement with Cantor Fitzgerald &amp; Co. (Cantor), pursuant to which Semler Scientific may offer and sell from time to time its common stock in an ATM offering.
On December 16, 2024, Semler Scientific filed a second prospectus supplement to its S-3 Shelf to offer an additional $50.0 million of shares under its existing ATM offering with Cantor, increasing the total amount offered under the ATM to $150.0 million.&nbsp; As of January 10, 2025, Semler Scientific has generated approximately $121.8 million of gross proceeds from sales under the ATM offering.
BTC Yield as a Key Performance Indicator (KPI)
From October 1, 2024 to January 10, 2025, Semler Scientific's BTC Yield was 72.6%. From July 1, 2024 (the quarter after Semler Scientific adopted its bitcoin treasury strategy) to January 10, 2025, Semler Scientific's BTC Yield was 99.3%.
Semler Scientific uses BTC Yield as a KPI to help assess the performance of its strategy of acquiring bitcoin in a manner Semler Scientific believes is accretive to stockholders. Semler Scientific believes this KPI can be used to supplement an investor's understanding of Semler Scientific's decision to fund the purchase of bitcoin by issuing additional shares of its common stock.
