The company reported <a target="_blank" href="https://www.benzinga.com/pressreleases/25/02/n43936668/shutterstock-reports-full-year-2024-and-fourth-quarter-financial-results" rel="noreferrer noopener">fourth-quarter FY24 sales growth</a> of 15.1% year-on-year to $250.03 million, missing the analyst consensus estimate of $254.94 million.
Revenue from Content product offerings rose 20%, representing 85% of total revenue in the fourth quarter.

Nasdaq Down 1.5%; RPM Posts Upbeat Results

Shares of Getty Images Holdings, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GETY#NYSE">GETY</a>) are blasting off Tuesday. The company announced that it is merging with Shutterstock, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SSTK#NYSE">SSTK</a>). <a href="https://www.benzinga.com/news/guidance/25/01/42840969/picture-perfect-partnership-getty-and-shutterstock-merge-to-form-3-7b-visual-giant">This will create a $3.7 billion visual content company</a>.

In the market, certain price levels are more important than others. This can be seen on the chart below. The $3.85 level has been important for Getty since July.

It was resistance then, in August, and again in September. Then it converted into support in October.
Now it has become resistance once more.
Despite the significant fundamental news regarding the merger, as you can see on the chart the shares hit resistance this morning at $3.87 before reversing. &nbsp;This shows how precise trading action can be around these important levels.
Traders and investors who paid $3.85 for shares in October were happy that they did so when the stock trended higher soon after.

But in November it reversed and broke the support. A large move lower followed. When this happened, some of these traders and investors thought their decision to buy was a mistake. They experienced ‘buyer's remorse'.
Many of them decided that they would hold onto their shares, but if they could eventually exit their positions without losing money they would do so.
As a result, this morning when the stock rallied back to levels around $3.85, these remorseful buyers placed sell orders. The large concentration of these orders created resistance at the same price that was support and, at least for now, has put a ceiling on Getty.
Sometimes when a stock reaches resistance, a selloff follows.
This happens when some who wish to sell at the resistance become concerned that other sellers will undercut them. They know the buyers will go to whoever is willing to sell at the lowest price.
They don't want to miss the trade, so they reduce the prices they are willing to sell their shares for. Other concerned sellers see this and do the same thing. It can create a snowball effect that pushes the price lower.
This is what happened when Getty reached the $3.85 resistance in July, August, and September and it appears to be the case now.
In the stock market, there may be important news that can lead to significant moves. But as the chart of Getty illustrates, technical dynamics can still be important and affect the price action.

U.S. stocks could open on a tentative note on Tuesday after the averages closed on a mixed note on Monday. Despite a rally in AI stocks and chip-making companies, futures were mixed on Tuesday, pointing at cautiousness among investors.
On investors' radar will be AI bellwether Nvidia Corp. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NVDA#NASDAQ">NVDA</a>), Advanced Micro Devices Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AMD#NASDAQ">AMD</a>), Micron Technology Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/MU#NASDAQ">MU</a>), and Toyota Motor Corp. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TM#NYSE">TM</a>), among others.

Cues From Last Session:
U.S. stocks ended Monday on a mixed note, with Nasdaq and S&amp;P 500 closing the day in green, while the Dow Jones registered a decline.
Crude oil prices remained under the $75 mark but continued to edge up due to concerns about strained supply.
Chipmakers led the rally after Foxconn reported record fourth-quarter revenue. Nvidia shares rose 3.4%, while Micron Technology surged 10.5%, marking some of the session&#8217;s strongest performances.
Treasury yields edged up again as investors await Federal Reserve chair Jerome Powell's speech on the economic outlook.
On the economic data front, the U.S. annual inflation rate rose to 2.6% in October from 2.4% in the previous month, in line with market estimates. The CPI rose 0.2% month-over-month in October.
Most sectors on the S&amp;P 500 closed on a positive note, with consumer discretionary, energy, and real estate stocks recording the biggest gains on Monday.
However, information technology and communication services stocks bucked the overall market trend, closing the session lower.

Insights From Analysts:
WisdomTree and Wharton School economist Jeremy Siegel underscored that one of the reasons for the tentative markets is uncertainty surrounding President-elect Donald Trump's economic policies.
"The market expects immediate action on tariffs, though implementation will take months. Regulatory skepticism for big tech persists, raising questions about the growth potential in this key sector," he said.
Siegel also observed the reliance of markets on AI and tech stocks, noting that the signs of market rotation to other sectors are "still notably absent."
"I could see a market correction in the broad market and a bear market in the Nasdaq if our long-waited market rotation occurs, but the catalyst for this rotation has yet to arrive."
Analysts at the BlackRock Investment Institute <a href="https://www.blackrock.com/us/individual/insights/blackrock-investment-institute/weekly-commentary">echoed</a> similar sentiments while noting that this overreliance on AI and tech stocks could be causing some jitters in the markets.
"Our overweight is grounded in the artificial intelligence (AI) theme, robust economic growth and broadening earnings growth. Soaring tech valuations and the concentration of returns in just a few tech companies caused some market jitters."
Despite this, they observed that this is a feature, not a flaw.

These elections will be subject to proration to ensure that the total consideration from Getty Images consists of $9.50 in cash and 9.17 Getty Images shares per Shutterstock share before the deal closes.
As of the signing date, the total consideration payable by Getty Images includes $331 million in cash and 319.4 million shares of Getty Images stock.
The transaction is subject to customary closing conditions, including approval from Getty Images and Shutterstock stockholders, and the extension or refinancing of Getty Images&#8217; existing debt obligations.
At closing, Getty Images shareholders will own 54.7% and Shutterstock shareholders will own 45.3% of the combined company on a fully diluted basis.
Shutterstock&#8217;s Board of Directors may continue to declare quarterly cash dividends until the transaction closes.
The deal is expected to generate significant synergies, with run-rate savings of $150 million to $200 million in SG&amp;A and capital expenditure <a target="_blank" href="https://www.benzinga.com/calendars/guidance" rel="noreferrer noopener">within the first three years post-close</a>.
About two-thirds of these synergies are anticipated to be realized within the first 12 to 24 months.
Upon closing, Getty Images CEO Craig Peters will become CEO of the combined company.
The combined company will retain the Getty Images name and trade on the NYSE under the ticker &#8220;GETY.&#8221;
On a pro forma basis for 2024, the combined company is expected to generate revenue of $1.979 billion &#8211; $1.993 billion, with 46% coming from subscription revenue.
The company is projected to have pre-synergy EBITDA of $569 million &#8211; $574 million, and pre-synergy adjusted EBITDA less capital expenditures of $461 million &#8211; $466 million.

As of &nbsp;September&nbsp;30, 2024, Shutterstock&#8217;s cash and cash equivalent <a target="_blank" href="https://www.benzinga.com/pressreleases/24/10/n41595321/shutterstock-reports-third-quarter-2024-financial-results" rel="noreferrer noopener">stood at $131.4&nbsp;million</a>, while Getty had a <a target="_blank" href="https://www.benzinga.com/pressreleases/24/11/g41823912/getty-images-reports-third-quarter-2024-results" rel="noreferrer noopener">cash balance of $114.4 million</a>.
Price Action: GETY shares are up 80.2% at $4.63, while SSTK shares rose 41.4% at $42.50 premarket at the last check Tuesday.

Getty Images Holdings Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GETY#NYSE">GETY</a>) is reportedly exploring a potential merger with rival Shutterstock Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SSTK#NYSE">SSTK</a>). The deliberations, disclosed by unnamed sources, reveal that Getty is considering how to structure the deal, though no final decision has been made.
Per a Bloomberg <a target="_blank" href="https://www.bloomberg.com/news/articles/2025-01-03/getty-images-explores-merger-with-rival-shutterstock?srnd=phx-latest" rel="noreferrer noopener">report</a> on Saturday, the proposed merger could unite two of the largest providers of licensed visual content in the U.S., underscoring the growing demand for photos, videos, and media in the digital era.
However, Bloomberg notes that such a deal would likely face antitrust scrutiny, regardless of the incoming Trump administration&#8217;s perceived openness to corporate mergers.
Industry observers caution that President-elect Donald Trump&#8217;s antitrust picks—Gail Slater and Andrew Ferguson—are not expected to relax enforcement policies significantly.

The visual content sector is experiencing transformative changes, with artificial intelligence reshaping content creation and smartphone cameras reducing the traditional value of stock photography.
Mark Getty, a director at Getty Investments, holds about 43% of the company&#8217;s outstanding shares. Other significant investors include Koch Inc. and Neuberger Berman.
In June 2024, Getty Images faced challenges stemming from a U.S. Securities and Exchange Commission investigation into fraudulent stock manipulation by Robert Scott Murray and his firm, Trillium Capital.
The SEC accused Murray of orchestrating a pump-and-dump scheme in 2023 by issuing a false buyout offer for Getty at $10 per share—double the company&#8217;s <a target="_blank" href="https://www.benzinga.com/news/24/06/39124109/getty-images-takeover-bid-was-old-fashioned-pump-and-dump-scheme-finds-sec-massachusetts-man-pleads" rel="noreferrer noopener">closing price at the time</a>.
The SEC alleged that Murray never intended to acquire Getty and liquidated his holdings immediately after the announcement. The court filings described the scheme as &#8220;false and misleading,&#8221; asserting that Murray&#8217;s actions were a calculated attempt to profit from inflated stock prices.
Price Action: At last check on Monday, GETY stock was up 3.77% at $2.48 during the premarket session.
