Sunoco LP is engaged in the distribution of motor fuels to independent dealers, distributors, and other commercial customers as well as the distribution of motor fuels to end-use customers at retail sites operated by commission agents. It is a growth-oriented master limited partnership (MLP) that operates as a wholesale and retail fuel distributor in the United States. The firm operates through the Fuel Distribution; Pipeline Systems; and Terminals segments. It generates the majority of its revenue from the Fuel Distribution segment. It distributes motor fuel to convenience stores, dealers, and commercial customers in various states. The operating convenience stores are under the APlus, Stripes, Aloha Island Mart, and Tigermarket brands.

Bahama Breeze may soon be <a href="https://www.benzinga.com/general/restaurants">gone with the wind</a>. 
Darden Restaurants (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/DRI#NYSE">DRI</a>) is considering selling the Caribbean-inspired chain or repurposing all its locations.
The decision comes after Darden closed 15 Bahama Breeze restaurants in May, leaving just 28. Guru Focus <a href="https://www.gurufocus.com/news/2938406/darden-to-explore-strategic-alternatives-for-bahama-breeze-chain?r=caf6fe0e0db70d936033da5461e60141">reported</a> that CEO Rick Cardenas told analysts that future investments in the brand are off the table.
Initially launched in the 1990s, Bahama Breeze served up tropical vibes with dining options like coconut shrimp and empanadas. However, after a strategic review, Darden decided it was time to focus on other properties, such as the never-ending-pasta-bowl innovator Olive Garden.
<h2 class="wp-block-heading">Updates From The Block</h2>
Businessman Mark Walter has agreed to acquire a majority stake in the NBA's Los Angeles Lakers from the Buss Family Trust. Jeanie Buss will continue to oversee team operations. Walter, already a minority owner, also leads TWG Global, which holds stakes in several sports properties.
The Buss family has owned the Lakers since 1979, overseeing 11 NBA championships and shaping one of the most recognized franchises in global sports. The team has featured iconic players such as Magic Johnson, Kareem Abdul-Jabbar, Kobe Bryant, Shaquille O'Neal and LeBron James.
The deal is expected to close in late 2025, pending NBA approval and other standard conditions.
Guggenheim Securities is advising Walter, with legal support from Davis Polk &amp; Wardwell LLP. ArentFox Schiff LLP represents the Lakers and the Buss Family Trust.

Melio shareholders, including Accel and Thrive Capital, will receive $360 million in Xero shares. Melio CEO Matan Bar will lead Xero's U.S. business post-acquisition.</li>
<li>Bank of New York Mellon placed an offer for Chicago-based Northern Trust, which has a market value of more than $21 billion. The price tag was not disclosed, but Women&#8217;s Wear Daily <a href="https://wwd.com/beauty-industry-news/skin-care/unilever-personal-care-acquisition-dr-squatch-1237941602/">reported</a> that the company&#8217;s sales exceeded $400 million.</li>

<li>The NBA&#8217;s board of governors approved the $1.5 billion sale of the Minnesota Timberwolves and WNBA's Minnesota Lynx from longtime owner Glen Taylor to an investment group led by entrepreneur Marc Lore and former MLB star Alex Rodriguez. The unanimous vote concludes a four-year back-and-forth process that included arbitration after Taylor attempted to cancel the deal earlier this year. Taylor, who bought the Timberwolves in 1994 to prevent a relocation to New Orleans, leaves after 31 years with the team. Lore and Rodriguez pledged to keep the teams in Minnesota.</li>

So far, JobGet is looking to buy at least one asset. Canada-based Valsoft Corporation and Canadian media firm Valnet are keen on acquiring others, including Military.com, which Monster bought in 2004 for $39.5 million. Tough competition is to blame for the restructuring, says CEO Jeff Furman, citing Indeed, LinkedIn, and Glassdoor. Private equity firm Apollo Global Management holds a minority stake in the company.</li>

Deal Dispatch: Darden Cools On Bahama Breeze, NBA M&A Heats Up

<h2 class="wp-block-heading">New On The Block</h2>
Nestlé (SWX: NESN) is trying to offload its premium bottled water biz—including Perrier and S.Pellegrino—for a thirst-quenching 5 billion euros ($5.6 billion), and it's tapped Rothschild to play matchmaker. Reuters, which broke the news, reports that Nestle wants to keep a stake. 
The move comes amid some political backwash in France. Authorities just <a href="https://www.lemonde.fr/en/france/article/2025/05/08/perrier-ordered-to-remove-water-filters_6741040_7.html">told</a> Nestlé to yank microfilters from two Perrier plants, raising eyebrows and maybe a few pH levels. 
Enter One Rock Partners. The firm, which previously helped extract Poland Springs from Nestlé in 2021 and now owns Primo Brands (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/PRMB#NYSE">PRMB</a>), is expected to make an offer. 
The deal comes as water scarcity intensifies globally. According <a href="https://www.worldwildlife.org/stories/water-scarcity-8-facts-you-need-to-know">to</a> the World Wildlife Fund, over two billion people lack safe drinking water, and some projections show up to 2.4 billion facing urban shortages by 2050.

<li>Speedcast is exploring the sale of its ground stations business. The transaction price could exceed $1 billion, according <a href="https://www.bloomberg.com/news/articles/2025-05-08/speedcast-is-said-to-mull-breakup-sale-of-ground-stations-unit?srnd=phx-deals&amp;sref=TBDibEcD">to</a> Bloomberg. Backed by Centerbridge Partners, the Houston-based satellite communications firm is working with an adviser and plans to run three separate auctions covering its services, infrastructure and government-focused units. Speedcast's ground stations enable it to deliver internet via satellite to clients like cruise lines and maritime shippers across its five business segments.</li>

<li>UBS Group AG is in talks to sell its hedge fund unit, O'Connor, to Cantor Fitzgerald LP, after over 30 years of ownership. The deal may include a revenue-sharing agreement, allowing UBS to receive a portion of future proceeds, Bloomberg <a href="https://www.bloomberg.com/news/articles/2025-05-08/ubs-in-talks-to-sell-hedge-fund-o-connor-to-cantor-fitzgerald?sref=TBDibEcD">reported</a>. This move comes as UBS looks to shed riskier assets in light of stricter Swiss regulations that could require up to $25 billion in additional capital. O'Connor, originally a Chicago-based derivatives firm acquired in 1992, had $16.5 billion in regulatory assets under management as of December.</li>

<li>OpenAI has agreed to buy Windsurf, an artificial intelligence-assisted coding tool, for about $3 billion, <a href="https://www.bloomberg.com/news/articles/2025-05-06/openai-reaches-agreement-to-buy-startup-windsurf-for-3-billion?sref=TBDibEcD">reported</a> Bloomberg. The deal hasn't closed yet. If successful, it positions OpenAI to better compete in the growing market for AI-powered coding assistants, where rivals like Anthropic, GitHub, and newer startups like Anysphere are gaining traction. Windsurf, also known as Exafunction Inc. and previously as Codeium, was recently valued at <a href="https://www.benzinga.com/25/05/45224667/microsoft-backed-openai-buys-windsurf-for-3-billion-to-strengthen-ai-coding-power">$3 billion</a>.</li>

<li>VivoPower International (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/VVPR#NASDAQ">VVPR</a>) announced that Energi Holdings has completed the first phase of due diligence for its proposed $180 million takeover. Energi, a global energy firm based in Abu Dhabi with $1 billion in annual revenue, will now move to an accelerated second phase focused on regulatory matters. Folks involved expect the deal to conclude by June 2.</li>

<li>Coinbase (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/COIN#NASDAQ">COIN</a>) is <a href="https://www.benzinga.com/markets/cryptocurrency/25/05/45287050/coinbase-acquires-deribit-in-2-9b-deal-to-expand-crypto-derivatives-business">acquiring crypto options exchange</a> Deribit in a $2.9 billion cash-and-stock deal, aiming to become the largest crypto derivatives platform by open interest and volume. The deal includes $700 million in cash and 11 million Coinbase Class A shares. It&#8217;s expected to close by year-end, pending regulatory approval. Deribit processes over $1 trillion in annual trading volume and has $30 billion in open interest, mainly from institutional clients. This is the latest in a string of acquisitions by Coinbase. It follows past purchases like Xapo (custody), Tagomi (prime brokerage), FairX (futures exchange) and One River Digital (asset management).</li>

Ackman&#8217;s firm will purchase 9 million shares for $100 each, representing a stake of 46.9%. The investment will allow Howard Hughes to acquire controlling stakes in companies while continuing to invest in <a href="https://www.benzinga.com/25/05/45199902/bill-ackman-strikes-deal-to-form-mini-version-of-berkshire-hathaway-a-free-money-generating-company-he-wouldnt-bet-against">real estate</a>.</li>

WeightWatchers insists it's business as usual. Members won't notice a thing—no plan changes or vanishing telehealth sessions. The company's holistic model (including doctor-recommended programs and prescription support) stays fully operational during the reorganization.
Backed by 72% of its lenders, the 62-year-old brand expects a speedy exit in about 45 days—faster than most people's post-holiday detox.
CEO Tara Comonte says this financial cleanse is all about building muscle for innovation, with a focus on digital upgrades and expanding WW&#8217;s fast-growing telehealth biz, which bulked up by 57% in Q1 2025 alone.
Weight loss drugs like Ozempic and Wegovy, both from Novo Nordisk (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/NVO#NYSE">NVO</a>), likely disrupted WeightWatchers&#8217; traditional business model.

Deal Dispatch: Nestlé, Coinbase, OpenAI Lead Diverse M&A Lineup As WeightWatchers Goes Bankrupt

Sunoco LP (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SUN#NYSE">SUN</a>) reported first-quarter revenues of $5.18 billion, which missed <a href="https://www.benzinga.com/pressreleases/25/05/n45217061/sunoco-lp-reports-first-quarter-2025-financial-and-operating-results" target="_blank" rel="noreferrer noopener">the consensus of $5.58 billion</a>. EPS of $1.21 missed <a href="https://www.benzinga.com/calendars/earnings" target="_blank" rel="noreferrer noopener">the consensus of $1.52</a>.
The adjusted distributable cash flow of&nbsp;$310 million was higher than&nbsp;the $176 million a year ago. Adjusted EBITDA increased to&nbsp;$458 million from&nbsp;$242 million a year ago.
The Fuel Distribution segment sold around 2.1 billion gallons of fuel (broadly flat&nbsp;year over year), with the fuel margin for all gallons sold at 11.5 cents per gallon versus 10.9 cents per gallon in the prior year quarter.
Adjusted EBITDA&nbsp;for the Fuel Distribution segment declined to&nbsp;$220&nbsp; million&nbsp;compared to&nbsp;$218&nbsp;million&nbsp;in the prior year quarter.
Total capital expenditures were&nbsp;$101 million, including&nbsp;$75 million&nbsp;for growth capital and&nbsp;$26 million&nbsp;for maintenance capital.
On&nbsp;April 23, Sunoco&nbsp;declared a distribution of&nbsp;$0.8976&nbsp;per unit, an increase of approximately 1.25% sequentially, payable on May 20, to unitholders of record as of May 9, 2025.
As of March 31, the company had long-term debt of about&nbsp;$7.7 billion&nbsp;and no borrowings outstanding on its&nbsp;$1.5 billion&nbsp;revolving credit facility.
On Monday, the company agreed to acquire&nbsp;Parkland Corporation (OTC:<a class="ticker" href="https://www.benzinga.com/stock/PKIUF#OTC">PKIUF</a>)&nbsp;in a deal valued at <a target="_blank" href="https://www.benzinga.com/trading-ideas/movers/25/05/45194533/sunoco-fuels-up-with-9-1b-parkland-deal-eyes-10-cash-flow-bump" rel="noreferrer noopener">approximately $9.1 billion, including debt</a>.

US Stocks Dip As Powell Stays Cautious, Intel Climbs, Tesla Sinks To 11-Week Low: What's Driving Markets Tuesday?

Sunoco LP (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SUN#NYSE">SUN</a>) shares are trading lower after it reported&nbsp;fourth-quarter&nbsp;revenues&nbsp;of&nbsp;$5.27 billion, which&nbsp;missed the <a target="_blank" href="https://www.benzinga.com/pressreleases/25/02/n43618892/sunoco-lp-reports-fourth-quarter-and-record-full-year-2024-financial-and-operating-results" rel="noreferrer noopener">consensus of&nbsp;$6.21 billion</a>.
Adjusted distributable cash flow of&nbsp;$261&nbsp;million&nbsp;was higher than&nbsp;$148&nbsp;million&nbsp;a year ago. Adjusted EBITDA increased to&nbsp;$439&nbsp;million&nbsp;from&nbsp;$236&nbsp;million&nbsp;a year ago.
EPS of&nbsp;$0.75&nbsp;missed&nbsp;<a target="_blank" href="https://www.benzinga.com/calendars/earnings" rel="noreferrer noopener">the consensus of&nbsp;$1.34</a>.
The Fuel Distribution segment sold around 2.2 billion gallons of fuel (broadly flat&nbsp;year over year), with the fuel margin for all gallons sold at 10.6&nbsp;cents per gallon versus 11.8&nbsp;cents per gallon in the prior year quarter.
Adjusted EBITDA&nbsp;for the Fuel Distribution segment declined to&nbsp;$192 million compared to&nbsp;$209 million in the prior year quarter.
Total capital expenditures were&nbsp;$132&nbsp;million, including&nbsp;$74&nbsp;million for growth capital and&nbsp;$58&nbsp;million for maintenance capital.
On&nbsp;January 27, Sunoco&nbsp;declared a distribution of&nbsp;$0.8865&nbsp;per unit, payable on February 19, to unitholders of record as of February 7, 2025.
As of December 31, the company had long-term debt of about&nbsp;$7.5 billion and approximately&nbsp;$1.3 billion in liquidity remaining on its&nbsp;$1.5 billion revolving credit facility.
Outlook: For 2025, the company expects adjusted EBITDA of $1.90 billion &#8211; $1.95 billion, total operating expenses of $900 million &#8211; $925 million, growth capital expenditures of at least $400 million, and maintenance<a target="_blank" href="https://www.benzinga.com/calendars/guidance" rel="noreferrer noopener"> capital expenditures of about $150 million</a>.
The company targets a distribution growth rate of at least 5% for 2025 and will announce future increases quarterly.
