(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/X#NYSE">X</a>) are reportedly negotiating with the Trump administration to revive their $14 billion merger by significantly boosting investments in U.S. Steel's<a href="https://www.benzinga.com/news/guidance/25/03/44432858/us-steel-faces-q1-pressures-but-eyes-long-term-gains-from-br2-nippon-partnership"> Rust Belt facilities.&nbsp;</a>
The Details: According to <a href="https://www.semafor.com/article/03/27/2025/us-steel-and-nippon-are-in-talks-to-revive-merger-that-trump-had-threaten-to-block">a report</a> from Semafor, sources familiar with the discussions said the Japanese steelmaker has proposed raising its initial $2.7 billion commitment to upgrade U.S. Steel plants to as much as $7 billion.&nbsp;

The deal was initially blocked by the Biden administration over national security concerns, and now hinges on strategic concessions. While President Donald Trump <a href="https://www.benzinga.com/25/02/43576917/trump-says-reconsiders-nippon-steels-149-billion-us-steel-deal-theyve-agreed-to-invest-heavilyas-opposed-to-own-it">previously opposed</a> the acquisition, he signaled openness in February to Nippon taking a<a href="https://www.benzinga.com/markets/commodities/25/03/44423382/billionaire-stanley-druckenmiller-boosts-us-steel-stake-by-143-is-he-betting-on-merger"> minority stake</a> or structuring the deal as an investment rather than a full buyout.&nbsp;
The revised terms would preserve the $55-per-share acquisition price and Nippon would begin making sizable capital investments into U.S. Steel as soon as possible, the sources said.&nbsp;
Legal and political hurdles remain. Both companies are involved in a lawsuit against the U.S. government, which recently sought deadline extensions to continue merger talks. The United Steelworkers union and <a href="https://www.benzinga.com/news/mid-cap/25/01/43275376/who-is-alan-kestenbaum-activist-investor-ancoras-pick-to-lead-us-steel">activist investors </a>like Ancora have also voiced opposition and are lobbying the Trump administration for alternative plans.&nbsp;

US Steel Stock Surges Forming Golden Cross, Does Billionaire Investment In X Signal More Upside?

United States Steel Corporation (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/X#NYSE">X</a>) shares are trading lower premarket on Friday. On Thursday, the company guided for the first quarter of 2025 adjusted EPS loss of 53 cents &#8211; 49 cents vs. <a href="https://www.benzinga.com/pressreleases/25/03/b44425492/united-states-steel-corporation-provides-first-quarter-2025-guidance" target="_blank" rel="noreferrer noopener">consensus loss of 30 cents</a>.
Also, the company expects adjusted EBITDA of about $125 million in the first quarter of 2025, in line with prior&nbsp;first quarter&nbsp;outlook of <a target="_blank" href="https://www.benzinga.com//node/43353295" rel="noreferrer noopener">$100 million&nbsp;&#8211; $150 million.</a>
The company projects the Flat-Rolled segment&#8217;s adjusted EBITDA to be lower sequentially on typical seasonal logistics constraints in the mining sector, which is expected to unwind in the second quarter.
United States Steel expects higher average selling prices and higher volumes <a href="https://www.benzinga.com/calendars/guidance">to partially offset this mining impact.</a>
Meanwhile, the company anticipates Mini Mill segment&#8217;s adjusted EBITDA to be higher Q/Q on higher shipments.
Apart from this, the European segment&#8217;s adjusted EBITDA is expected to improve Q/Q due to an increase in shipments, volume efficiencies, and favorable raw material pricing despite the challenging demand environment in Europe.
On the other hand, the company sees Tubular segment&#8217;s adjusted EBITDA to be higher Q/Q led by an increase in prime shipments and rise in average selling prices.
President and Chief Executive Officer David B. Burritt said, &#8221;BR2 is expected to make a significant contribution to our 2025 EBITDA, with run-rate throughput expected during the second half of 2025 and full run-rate capability in 2026.&#8221;

US Steel Faces Q1 Pressures, But Eyes Long-Term Gains From BR2 & Nippon Partnership

First Quarter Adjusted EBITDA Commentary
The Flat-Rolled segment's adjusted EBITDA is expected to be lower than the fourth quarter primarily driven by typical seasonal logistics constraints in the mining sector, which will unwind in the second quarter. We anticipate that higher average selling prices and increased volumes will partially offset this mining impact.
The Mini Mill segment's adjusted EBITDA is expected to be higher than the fourth quarter due to an increase in shipments. For the first quarter, we expect approximately $50 million in ramp-related impact from BR2. These costs are included in our first quarter adjusted EBITDA guidance for the Mini Mill segment.
The European segment's adjusted EBITDA is expected to improve compared to the fourth quarter, largely due to an increase in shipments, volume efficiencies and favorable raw material pricing, yet the sector will continue to face pressures from a challenging demand environment in Europe.
The Tubular segment's adjusted EBITDA is expected to be higher than the fourth quarter due to an increase in prime shipments and higher average selling prices.

United States Steel Corp Sees Q1 2025 EPS $(0.53)-$(0.49) Vs $(0.30) Est; Sees Adj. EBITDA Of ~$125M

United States Steel Corp (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/X#NYSE">X</a>), a giant of American industry, fell into tough times in recent decades. As company management <a href="https://www.benzinga.com/25/02/43576917/trump-says-reconsiders-nippon-steels-149-billion-us-steel-deal-theyve-agreed-to-invest-heavilyas-opposed-to-own-it">explores merger opportunities</a>, hedge fund manager Stanley Druckenmiller made a large bet on the Pittsburgh, Pennsylvania-based company.
What Happened: Druckenmiller&#8217;s Duquesne Family Office&#8217;s latest 13f filing showed an increased stake in the steel giant.
The hedge fund manager owned 1,610,040 company shares as of Dec. 31, 2024, up from 663,090 in 2024&#8217;s third quarter. Thus, Druckenmiller increased his stake by 143% just a few months after initiating his position.
United States Steel has frequently been in the headlines in recent months. The company planned to be acquired for $15 billion by Japanese company Nippon Steel, but the <a href="https://www.benzinga.com/markets/25/01/42870745/nippon-steel-ceo-slams-tariffs-defends-15-billion-us-steel-merger-amid-national-security-concerns-we-never-think-that-industry-can-become-stronger-through-tariffs-alone" target="_blank" rel="noopener">Biden Administration blocked</a> the deal.
The odds of a deal between the two companies clearing regulators appeared low during much of 2024. Another bidder <a href="https://www.benzinga.com/news/mid-cap/25/01/43275376/who-is-alan-kestenbaum-activist-investor-ancoras-pick-to-lead-us-steel">challenged Nippon Steel</a> to acquire the company in January.
However, President Donald Trump has recently contemplated <a href="https://www.benzinga.com/markets/asia/25/02/43574248/trump-hints-at-rekindling-nippon-steels-14-billion-acquisition-of-united-steel-in-talks-with-japanese-pm-ishiba">supporting the deal</a> after meeting with Japanese officials. The Trump Administration recently <a href="https://www.benzinga.com/25/03/44380592/trump-eyes-approval-of-controversial-steel-merger-nippon-and-us-steel-await-key-decision">granted the companies</a> a 21-day extension in their lawsuit over the proposed merger.
Druckenmiller, famously a top-down investor, could have invested in United States Steel due to possible Trump Administration tailwinds. The company&#8217;s stock has also benefitted from <a href="https://www.benzinga.com/markets/equities/25/03/44269301/trumps-25-tariffs-on-steel-and-aluminum-imports-take-effect-eu-retaliates-us-steel-nucor-century-aluminum-and-other-domestic-stocks-cheer">Trump&#8217;s steel tariffs</a>.
