On May 16, 2025, President and CEO of the Company, David S. Silverman, age 64, informed the Board of Directors of his intention to retire from the Company during 2026. Accordingly, the Board will conduct a comprehensive search for Mr. Silverman's successor which includes the creation of a subcommittee of independent directors from the Company's Nominating and Governance Committee. That subcommittee is expected be appointed at the next meeting of the Board, to be held on May 21, 2025, immediately following the annual meeting of shareholders. The search process will include consideration of both internal and external candidates.

Is a recession quietly taxiing down the runway? In March, airfare prices dropped 5.3% year-over-year, the sharpest decline in nearly four years, according to the<a href="https://www.bls.gov/news.release/pdf/cpi.pdf"> Bureau of Labor Statistics</a>.&nbsp;
The drop came as major U.S. airlines — including Delta Air Lines (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/DAL#NYSE">DAL</a>), Southwest Airlines (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/LUV#NYSE">LUV</a>), United Airlines (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/UAL#NASDAQ">UAL</a>), and Alaska Airlines (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ALK#NYSE">ALK</a>) — warned of weaker-than-expected demand, spurred by economic uncertainty, stalled business travel, and global volatility.

<h2 class="wp-block-heading">Slashed Fares, Shaky Forecasts, And A Bumpy Ride Ahead</h2>
&#8220;Like others in the industry, we&#8217;ve seen lower fare levels being booked for April and throughout the summer,&#8221; Alaska Airlines CFO Shane Tackett told Reuters in an <a href="https://www.reuters.com/business/alaska-air-pulls-its-2025-outlook-sees-weaker-profit-second-quarter-2025-04-23/">interview</a> published last month. Though he emphasized that demand hadn't collapsed, Tackett confirmed the airline had to reduce fares to keep planes full.
Robert Isom, CEO of American Airlines, echoed the concern during the company's quarterly <a href="https://americanairlines.gcs-web.com/events/event-details/q1-2025-american-airlines-group-inc-earnings-conference-call">earnings call </a>on April 24. "The economic uncertainty in the market has pressured demand and impacted America&#8217;s first-quarter results and second-quarter outlook," he told analysts, prompting the airline to pull its 2025 guidance.
Delta CEO Ed Bastian said during the company's April 9 <a href="https://s2.q4cdn.com/181345880/files/doc_earnings/2025/q1/transcript/CORRECTED-TRANSCRIPT_-Delta-Air-Lines-Inc-DAL-US-Q1-2025-Earnings-Call.pdf">earnings call</a>, highlighting measures taken in response to economic uncertainties. These include deferring aircraft deliveries and maintaining flat capacity growth for the second half of 2025. Bastian noted that corporate travel, which had been trending up 10% year-over-year at the start of 2025, has now flattened.

Meanwhile, United Airlines took a split-scenario approach. In an <a href="https://www.sec.gov/Archives/edgar/data/319687/000010051725000013/ual_12312024erex992.htm">investor update</a> filed with the SEC in January, the airline issued two 2025 profit forecasts: one showing earnings per share between $11.50 and $13.50 if the economy holds steady, and another EPS of $7 to $9 in a recession. Starting in July, United plans to reduce domestic capacity by 4%.
This domestic softness comes at a time when business travel budgets are also tightening. <a href="https://www.wsj.com/business/airlines/business-travel-expenses-decline-trade-war-7b0ac8b4">The Wall Street Journal</a> reported that companies like Invesco (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/IVZ#NYSE">IVZ</a>) and Meta (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/META#NASDAQ">META</a>) are trimming non-essential travel due to cost pressures and diminished ROI from face-to-face meetings.
Despite the turbulence at home, premium and international travel segments are staying aloft. United Airlines saw a <a href="https://ir.united.com/static-files/eac79d3d-fdbc-4c6d-97f2-109769c238a8">17% jump in premium booking</a>s and 5% rise in international sales. Delta is also leaning into loyalty programs and premium cabin sales.

UnitedHealth Group Inc's (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/UNH#NYSE">UNH</a>) <a href="https://www.benzinga.com/quote/UNH/news">recent nosedive wasn't just a chart pattern</a> — it was a conviction breaker. 
Tom Hulick, CEO of Strategy Asset Managers, didn't wait for a rebound. He dumped the stock, citing "a deterioration in fundamentals" in exclusive insights shared with Benizinga over email.
UnitedHealth&#8217;s stock is down over 42% year-to-date, over 31% down in the past month alone.
<h2 class="wp-block-heading">Asset Manager Walks Away From UNH Stock</h2>
The asset manager's exit from UnitedHealth stock followed a string of gut punches for UnitedHealth: an unexpected CEO resignation, fiscal 2025 guidance withdrawal, and what Hulick called "a rare earnings miss and downward revisions to EPS." But the real red flag?
A company that always looked forward suddenly stopped doing so. "When a perennial compounder stops providing forward guidance and leadership turnover coincides with performance slippage, it's a signal to pay attention."

<h2 class="wp-block-heading">The Storm Brewing In Medicare Advantage</h2>
And Hulick's attention is now on a storm brewing in Medicare Advantage. Once UnitedHealth's profit engine, it's now showing signs of burnout. "Rising utilization, tighter reimbursement, and structural adjustments tied to the CMS risk model transition" have created a perfect storm, Hulick said, adding that "margin compression at a scale that can't be resolved with typical cost controls" could lead to slower growth or even retrenchment.
The broader picture isn't much rosier for the managed care sector. With regulators circling and medical loss ratios climbing, Hulick says the core business model is losing its shine. "The upside appears capped relative to prior cycles," he said, noting a shift in the defensive-growth balance that "is not necessarily in favor of the incumbents."
<h2 class="wp-block-heading">Going Long On Science, Instead</h2>
So where is the $700 million manager putting its chips? Hulick is going long on science. "We're investing in innovation-driven segments that offer idiosyncratic upside and aren't tethered to reimbursement dynamics."
That includes early-stage biotech, gene editing, and longevity plays &#8211; plus global insurance firms like Arthur J. Gallagher &amp; Co. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/AJG#NYSE">AJG</a>), which Hulick says have "demonstrated durable growth, pricing power, and operate in areas less exposed to the volatility we're seeing in U.S. health insurance."
UNH may be the canary in the managed care coal mine. While Hulick sees "rising costs, regulatory friction, and deteriorating visibility" across the sector, he singles out UnitedHealth as "uniquely exposed" given its size, complexity, and "integration challenges-especially with Optum."
The firm has exited UnitedHealth across three equity strategies but is holding onto bonds maturing in 2026 &#8211; one place where Hulick still sees strength. "The A+ rating and balance sheet strength remain intact."
But in equities, the message is clear: "The focus now is on innovation, not incumbency."
