The sale reflects FiscalNote's ongoing strategy to concentrate on its core Policy platform.
The net proceeds from the sale will allow FiscalNote to return capital, reducing its senior term loan<a target="_blank" href="https://www.benzinga.com/calendars/guidance" rel="noreferrer noopener"> and enhancing its balance sheet</a>.
This move simplifies the business, minimizing complexity while boosting productivity, efficiency, and profitability.
News Corp anticipates receiving a $4 million tax <a target="_blank" href="https://www.benzinga.com/pressreleases/25/02/n43908747/dow-jones-to-acquire-dragonfly-intelligence-and-oxford-analytica-from-fiscalnote" rel="noreferrer noopener">benefit as part of the transaction</a>.
The transaction is expected to close in the first quarter of 2025, pending antitrust clearance in Austria and other customary conditions.

On Sunday, the company inked a deal to sell its Foxtel Group to DAZN Group Limited for <a target="_blank" href="https://www.benzinga.com/pressreleases/24/12/b42639259/news-corp-announces-agreement-to-sell-foxtel-to-dazn-for-enterprise-value-of-a-3-4-billion" rel="noreferrer noopener">an enterprise value</a> of roughly $2.12 billion (AU$3.4 billion).
As part of the deal, News Corp&#8217;s shareholder loans of AU$ 578 million will be fully repaid in cash at closing.
Foxtel&#8217;s debt will be refinanced and transferred, with News Corp retaining a 6% equity stake in DAZN and a seat on its Board of Directors.
Telstra Group Ltd will also sell its minority stake in Foxtel, receive repayment of A$128 million in shareholder loans, and acquire a 3% equity interest in DAZN.7x its fiscal 2024 EBITDA.
The sale of Foxtel follows a strategic and financial review by News Corp as part of its efforts to optimize its portfolio and simplify its structure.

News Corp Sells Foxtel to DAZN for $2.12 Billion, Retains Stake in Global Sports Streaming

News Corporation ("News Corp" or the "Company") (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NWS#NASDAQ">NWS</a>, NWSA: ASX: NWS, NWSLV)) announced today that it has entered into a definitive agreement for the sale of Foxtel Group ("Foxtel") to DAZN Group Limited ("DAZN"), a premier global sports streaming platform.

<a href="https://www.bloomberg.com/quote/MSFT:US">Microsoft Corp.</a> reached a deal with <a href="https://www.bloomberg.com/quote/NWSA:US">News Corp.</a>'s HarperCollins that will allow the software company to use nonfiction titles from the book publisher to train its artificial intelligence models, according to a person familiar with the matter.
Microsoft wants the HarperCollins books for a model that it hasn't yet announced, according to the person, who asked not to be identified discussing plans that aren't public. The company isn't planning to use the content to generate new books without human authors, the person said. Microsoft declined to comment.

Dear Members of the Board of Directors,
We are writing on behalf of Irenic Capital Management, L.P. (together with its affiliates, "Irenic" or "we"). Irenic is one of the largest unaffiliated shareholders of News Corporation ("News Corp" or the "Company").
We write for three reasons:
<ul>
<li>First, Irenic intends to vote in favor of Starboard Value LP's ("Starboard") proposal to recommend the News Corp Board of Directors (the "Board") eliminate the Company's dual-class share structure. We agree with Starboard that such structures are outmoded and run afoul of fundamental corporate governance principles and are destructive of market value. One share should equal one vote.</li>
<li>Second, while we support Starboard's proposal, we believe that when a dual-class share structure has been in-place for a long period of time, as it has been at News Corp, the high-vote stockholders should receive consideration for converting to a best-in-class corporate governance structure that benefits all stockholders. Paying a premium to high-vote stockholders is consistent with recent reclassifications:</li>
<li>In Constellation Brands, Inc. (2022) high-vote shareholders were paid a 26.5% premium.</li>
<li>In Forest City (2016) high-vote shareholders were paid a 31.0% premium.</li>
<li>In Hubbell Incorporated (2015) high-vote shareholders were paid a 28.3% premium.</li>
<li>We believe paying a substantial premium for the News Corp Class B Common Stock to convert to a single-share structure is appropriate – and encourage the Board and Starboard to work cooperatively to arrive at a fair value.</li>
<li>Third, our support for collapsing the dual-class share structure is not a reflection of our displeasure with management's efforts to unlock value at News Corp. While this process has taken longer than most similar processes, we do believe management is working earnestly to take concrete actions that will unlock immediate value and position News Corp's excellent, but separate, franchises, Dow Jones and REA, for long-term success.</li>

One of the most beloved children's computer video games is getting a movie adaptation. "The Oregon Trail" is sparking an action-comedy movie featuring songs, adding to the lineup of game adaptations in the works by<a href="https://www.benzinga.com/general/entertainment/24/08/40491446/amazon-could-score-another-video-game-inspired-hit-after-fallout-new-series-adapts-pac-man-"> big studios and streaming companies.</a>
What Happened: The 1970s educational computer game "The Oregon Trail" is being adapted into a movie by Apple Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AAPL#NASDAQ">AAPL</a>), joining the list of video games becoming movies, including "Tetris" <a href="https://www.benzinga.com/general/entertainment/23/03/31543197/unlock-an-apple-tv-month-for-free-by-winning-at-tetris">from Apple in 2023. &nbsp;</a>
Will Speck and Josh Gordon will direct and produce the movie, <a href="https://www.hollywoodreporter.com/movies/movie-news/oregon-trail-movie-apple-1236045454/">according </a>to The Hollywood Reporter. The duo is behind films such as "Blades of Glory," "The Switch" and "Lyle, Lyle, Crocodile."
Benj Pasek and Justin Paul will produce and provide original music for the movie according to the report. The duo are part of the EGOT club, winning Emmy, Grammy, Oscar and Tony awards. Pasek and Paul have worked on the hit television show "Only Murders in the Building" and also helped with songs and soundtracks for "La La Land" and "The Greatest Showman."
Speck, Gordon, Pasek and Paul all worked together on "Lyle, Lyle, Crocodile" previously.
"The Oregon Trail" movie adaptation will feature several musician numbers, according to the report, in the same realm as "Barbie," the highly successful movie adaptation of the hit toy brand.
Apple won the film pitch from the team working on adapting the movie and the film remains in the early stages according to the report.
HarperCollins, which is owned by News Corporation (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NWS#NASDAQ">NWS</a>), owns the rights to the video game franchise. Caroline Fraser will produce for HarperCollins Productions.

Why It's Important: Released in 1971, "The Oregon Trail" is one of the most popular and most well-known computer games of all time. The hit game has inspired mobile game versions, card games and a musical.
Many students played the game while in grade school and middle school, as it was meant to teach students about the harsh conditions and loss of life during the 19th century as settlers moved west along the Oregon Trail.
The game had players hunt, fish, buy and sell goods, and make decisions based on their route and wagon members. Some members would die along the way, including from gastrointestinal infection and dysentery.
During the game, players would occasionally be met with the words on the screen of one of their wagon members dying of dysentery, which has become a phrase associated with the game in popular culture today.
Apple has not announced whether the movie will play in theaters or be a streaming exclusive on its AppleTV+ platform.
The technology giant recently debuted "Wolfs" in a limited theatrical release ahead of a<a href="https://www.benzinga.com/general/entertainment/24/10/41172851/apple-tv-scores-biggest-streaming-movie-in-history-thanks-to-george-clooney-brad-pitt"> streaming&nbsp; premiere in September. </a>The film went on to be the most viewed movie in AppleTV+ history and boosted viewership by 30% week-over-week when added to the platform.
Apple has&nbsp;<a href="https://www.benzinga.com/24/03/37558754/apples-1b-gamble-on-3-blockbusters-analyzing-box-office-results-streaming-impact-and-oscar-nominatio" target="_blank" rel="noreferrer noopener">seen recent success&nbsp;</a>at the Academy Awards with &#8220;CODA,&#8221; which won a historic Oscar for Best Picture at the 94th Academy Awards.

While the box office figures didn&#8217;t break even on costs, a studio source told Variety that both &#8220;Killers of the Flower Moon&#8221; and &#8220;Napoleon&#8221; were profitable thanks to other revenue streams.
Apple has adopted a strategy of premiering its major films in theaters before offering them exclusively on its streaming platform, Apple TV+. This model helps Apple recover some of its costs and could also help the company become a staple for award shows requiring a theatrical run.
With the "Wolfs" model of going limited release and then streaming, the industry will closely watch future Apple films to see which release model the technology giant uses.

Apple Set To Adapt Oregon Trail Video Game Into Movie With Musical Numbers — But Hopefully No Dysentery

The Washington Post, which is owned by billionaire Jeff Bezos, is the latest newspaper to be caught up in controversy over not endorsing a political candidate in the <a href="https://www.benzinga.com/topic/2024-election">2024 presidential election.</a>
The newspaper announced Friday it will not endorse a candidate in the race.
What Happened: The Washington Post, which was purchased by <a href="https://www.benzinga.com/news/23/11/35617835/jeff-bezos-backed-washington-post-gets-new-ceo-former-wall-street-journal-veteran-william-lewis-take">Bezos in 2013,</a> said it will not endorse a candidate for the first time in 36 years and will not endorse candidates in future presidential races.
Washington Post publisher and CEO William Lewis made the official <a href="https://www.washingtonpost.com/opinions/2024/10/25/washington-post-endorsement/">announcement </a>Friday.
"We are returning to our roots of not endorsing presidential candidates," Lewis said.
Lewis cited the paper's 1960 editorial board decision to stop endorsing candidates, describing it as a move toward being an "independent newspaper in the Nation's Capital."
"We recognize that this will be read in a range of ways, including as a tacit endorsement of one candidate or as a condemnation of another, or as an abdication of responsibility."
Lewis said that's not the case and the newspaper has always stood for character and courage, the rule of law, and respect for human freedom. The newspaper publisher said the non-endorsement is a statement that supports readers being able to make up their own mind on the election.
"Our job at The Washington Post is to provide, through the newsroom, nonpartisan news for all Americans, and thought-provoking, reported views from our opinion team to help our readers make up their own minds."
A separate Washington Post <a href="https://www.washingtonpost.com/style/media/2024/10/25/washington-post-endorsement-president/">article </a>highlighted the announcement&#8217;s timing, occurring just 11 days before the 2024 election, which is described as too close to call. The report also noted that other newspapers have faced situations where owners blocked endorsements agreed upon by writers and editorial boards.
"An endorsement of Harris had been drafted by Post editorial page staffers but had yet to be published," the article reads.
The decision not to publish the endorsement of Kamala Harris was made by "The Post's owner – Amazon founder Jeff Bezos," sources told the Washington Post writer.
The article said the decision not to make an endorsement "has roiled many on the editorial staff, which operates independently from The Post's news staff."
Washington Post editor-at-large Robert Kagan, who has been critical of Trump in the past, resigned from the editorial board in response to the decision, according to <a href="https://www.npr.org/2024/10/25/nx-s1-5165353/washington-post-presidential-endorsement-trump-harris">NPR</a>.

Why It's Important: The Washington Post's decision not to endorse a candidate in the 2024 election follows a similar move by the Los Angeles Times, owned by billionaire Patrick Soon-Shiong.
The Los Angeles Times had planned an endorsement of Harris that was blocked by Soon-Shiong. The decision led to backlash from readers and the resignation of editorials editor Mariel Garza.
Soon-Shiong said he wanted the editorial board to instead offer readers a side-by-side comparison of Donald Trump and Harris' policies.
Both Soon-Shiong, who is the Executive Chairman of Immunity Bio (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/IBRX#NASDAQ">IBRX</a>), and Bezos have interests in companies that the federal government could impact under whoever wins the 2024 election. Reports say both could be worried about endorsing Harris and being retaliated against if Trump wins.
On Friday, the New York Post, which is owned by News Corporation (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NWS#NASDAQ">NWS</a>), <a href="https://nypost.com/2024/10/25/opinion/the-post-endorses-donald-trump-for-president-the-clear-choice-for-a-better-future/">endorsed </a>Trump for president.
The paper cited a secure border, low-tax economy, common-sense policies, safer cities, and a country feared by enemies globally as reasons for the endorsement of Trump.
"If history is any guide, the track records of the last two administrations provide a clearly comparable record," the paper wrote.
The paper calls Donald Trump "the right choice" for the 2024 election.
The newspaper company is owned by Rupert Murdoch, who also owns Fox News, and has often <a href="https://www.benzinga.com/news/legal/24/09/40881529/rupert-murdochs-family-court-battle-over-fox-control-mirrors-succession-drama">been a supporter </a>of Trump.
