WPP PLC&nbsp;(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/WPP#NYSE">WPP</a>) shares are trading lower on Thursday after the company <a target="_blank" href="https://www.benzinga.com/pressreleases/25/02/b44002380/wpp-2024-preliminary-results" rel="noreferrer noopener">reported fourth-quarter and 2024 preliminary results</a>.
Revenue for the year was 14.74 billion British pounds ($18.8 billion) compared to 14.85 billion British pounds in 2023.
Revenue declined by 0.7%&nbsp;year over year (Y/Y) on a reported basis, and there was an increase of&nbsp;2.3%&nbsp;Y/Y on a <a target="_blank" href="https://www.benzinga.com/earnings" rel="noreferrer noopener">like-for-like (LFL) basis.&nbsp;</a>
Adjusted operating cash flow increased to 1.460 billion British pounds in FY24 from 1.28 billion British pounds and adjusted free cash flow rose to 738 million British pounds, benefiting from strong working capital management.
As of December 31, 2024, adjusted net debt stood at 1.7 billion British pounds. Cash restructuring and transformation costs of 275 million British pounds, included in non-headline cash items are slightly lower than the guidance given in January 2024 and relate to actions communicated at the January Capital Markets Day.
These costs include the structural cost-saving plan related to the creation of VML and Burson and the simplification of GroupM.
The structural savings are expected to generate annualized net cost savings of approximately 125 million British pounds in 2025, with 85 million British pounds of that achieved in 2024, ahead of the original plan (40-50%).
The fourth-quarter like-for-like (LFL) revenue excluding pass-through costs declined by 2.3%. By geographies, growth in Western Continental Europe (+1.4%) was offset by declines in North America (-1.4%), the U.K. (-5.1%), and the Rest of World (-4.8%), with China seeing a significant drop of -21.2% in the quarter.
By business, Global Integrated Agencies LFL revenue less pass-through costs fell 2.2%, GroupM rose 2.4% Y/Y, while other Global Integrated Agencies declined 6.5% Y/Y.
FY25&nbsp;Outlook: WPP expects mergers and acquisitions to reduce revenue less pass-through costs by around 3.0ppts primarily <a target="_blank" href="https://www.benzinga.com/calendars/guidance" rel="noreferrer noopener">due to the disposal of FGS Global.</a>
The company expects capex of around 250 million British pounds and adjusted operating cash flow before working capital of around 1.4 billion British pounds.
Price Action: WPP shares are down 15.6% at $40.98 at the last check Thursday.

Omnicom Group Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/OMC#NYSE">OMC</a>) agreed Monday to acquire Interpublic Group of Companies, Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/IPG#NYSE">IPG</a>) in a <a href="https://www.benzinga.com/pressreleases/24/12/n42386996/omnicom-to-acquire-interpublic-group-to-create-premier-marketing-and-sales-company" target="_blank" rel="noreferrer noopener">stock-for-stock transaction</a>.
Interpublic shareholders will receive 0.344 Omnicom shares for each share of Interpublic common stock.
Should the transaction close, Omnicom shareholders will own 60.6% of the combined company, and Interpublic shareholders will own 39.4%.
John Wren&nbsp;will remain chairman and CEO of Omnicom.&nbsp;Phil Angelastro&nbsp;will remain EVP and CFO of Omnicom.&nbsp;Philippe Krakowsky&nbsp;and&nbsp;Daryl Simm&nbsp;will serve as Co-Presidents and COOs of Omnicom.

Omnicom, the third-largest advertising company, bid $35 billion for Publicis Groupe SA (OTC:<a class="ticker" href="https://www.benzinga.com/stock/PGPEF#OTC">PGPEF</a>) (OTC:<a class="ticker" href="https://www.benzinga.com/stock/PUBGY#OTC">PUBGY</a>) in 2014. The deal never came to fruition.
According to COMvergence data, Omnicom secured $7.37 billion in client billings this year. That includes $4.4 million from retained accounts, surpassing its closest competitor by over 40%. Notably, Omnicom achieved the highest retention rate in the industry, keeping 85% of billings under review while <a href="https://www.benzinga.com/pressreleases/24/12/n42294314/omnicom-media-group-tops-comvergence-q1-q3-report-with-7-37-billion-in-total-new-business" target="_blank" rel="noreferrer noopener">adding new clients</a>.

Several multinational corporations, including Volkswagen AG (OTC:<a class="ticker" href="https://www.benzinga.com/stock/VWAGY#OTC">VWAGY</a>), Mercedes-Benz and L&#8217;Oréal, are voicing concerns over a drop in demand in China, due to a slowing economy and growing domestic competition.
What Happened: Reduced demand in China has been a recurring theme in half-year earnings across the global consumer goods sector. L'Oréal predicted a 2-3% fall in sales growth in China in the first half of the year, while Volkswagen-owned Porsche reported a one-third decrease in Chinese sales in the six months to June, compared to the previous year, Financial Times <a href="https://www.ft.com/content/8e2f415b-46bb-473f-9c26-474322e372f2">reported</a> on Monday.
&#8220;The only part of the world where consumer confidence remains very low is China,&#8221; said L'Oréal CEO Nicolas Hieronimus.
China&#8217;s heavily indebted real estate industry has been slowing down since late 2021, leading to a rapid drop in house prices and a subsequent decrease in consumer confidence and demand for consumer goods.

Despite the challenges, some companies remain optimistic about the Chinese market. Yum China (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/YUMC#NYSE">YUMC</a>), the operator of Pizza Hut and KFC in China, reported better-than-expected first-half results, with net income rising 8% to $212 million.
According to Fitch analysts, uncertainty surrounding disposable income prospects along with shrinking household wealth has led to Chinese consumers prioritizing &#8220;value-for-money&#8221; products over non-essential expenditures.
"We don't know how long it will take [or] what it will take for China's consumers to regain that confidence,&#8221; Mercedes-Benz CEO Ola Källenius said.

While these companies remain focused on enhancing shareholder returns, the overall economic challenges loom large.
